5.1保证费（以下二者择一，在“□”中打“√”选择）

□以保函金额为基数计算，季费率为     ‰，由保证人于开立保函之日向委托人计收第一次保证费，以后按季（于相应之日）以实际保证余额为基数（若保函金额有变化，以当季中保证余额较高者计算）向委托人计收保证费，直到保函失效为止。

5.2其他费用

委托人承担保证人因开具保函而发生的诉讼费、仲裁费、律师费、咨询费、文件印刷费以及电话、传真、电传等通讯费和其他费用，均依据生效之判决或仲裁决议规定承担。
The Client shall bear any legal cost, arbitration fee, attorney fee, consulting fee, document printing expenses, and telephone, fax, telex and other communication expenses etc. incurred as a result of issuing the letter of guarantee pursuant to an effective judgment or arbitration award.

委托人及保证人与本协议有关的通知、要求等应以书面形式发送。

由专人递送的，收件方签收视为送达（收件方拒收的，于拒收日视为送达）；以邮寄信函方式递交的，寄出后满七日视为送达；以传真方式递交的，收件方传真系统接收传真后视为送达；保证人通过在公众媒体上公告的方式对委托人进行催收的，自公告之日视为送达。
If sent by courier service, delivery upon acknowledgment by the recipient (if the recipient rejects the receipt, delivery at the date of rejection); if sent by mail, delivery upon 7 full days after the mail is sent; if sent by fax, delivery after the recipient’s fax system receives the fax; and if the Guarantor collects from the Client by means of announcement in public media, delivery at the date of announcement.

Any party shall, if its correspondence address is changed, timely notify the other party, or otherwise shall bear any loss incurred therefrom itself.

第7条 适用法律
Article 7 Governing laws
本协议适用中华人民共和国法律，受中华人民共和国法律的管辖。在本协议履行中，如发生争议、纠纷，有关各方首先应协商解决，协商无法解决时，如在争议发生后九十（90）天内经双方协商不能解决，甲、乙任一方可要求将争议提交仲裁。仲裁将根据下列条款进行。
The Agreement is subject to the laws of the P. R. of China. During the performance of the Agreement, any dispute or issue incurred shall be resolved upon negotiation by each party concerned, and if failed, that is, it cannot be resolved by both parties upon negotiation within ninety (90) days after the dispute is incurred, either party may submit the dispute to arbitration. The arbitration will be conducted according to the following articles.
7.1如双方同意，则应将该争执提交中国国际经济贸易仲裁委员会，按照该会的仲裁规则进行仲裁。
7.1 If both parties agree, such dispute shall be submitted to arbitration of China International Economic and Trade Arbitration Commission according to its arbitration rules.
7.2如双方未能就本条第13.3.1款的仲裁安排达成一致意见，双方应提交香港国际仲裁中心进行仲裁。仲裁按目前有效的联合国国际贸易法委员会的仲裁规则进行，但可作下述修改。
7.2 If both parties fail to reach an agreement on the arbitration arrangement in this Article 13.3.1, both parties shall submit it to arbitration of Hong Kong International Arbitration Centre. The arbitration shall be conducted according to the prevailing arbitration rules of United Nations Commission on International Trade Law, but amendments may be made as follows.

7.5 因仲裁所产生的合理的律师费、差旅费、公告费、送达费，由败诉方承担。
7.5 Any reasonable attorney fee, travel expense, announcement fee, and delivery expense incurred as a result of arbitration will be borne by the defeated party.
7.6本合同终止或解除后，将有关合同的争议提交仲裁的权利将继续保留。
7.6 After the contract is terminated or cancelled, the right to submit the dispute concerning the contract to arbitration will be reserved.

本协议一式    份，经当事人双方法定代表人/主要负责人或其授权代理人签字/盖名章并加盖公章/合同专用章后生效。
The Agreement is in     copies, and shall become effective once signed/stamped by the legal representatives/persons chiefly in charge or authorized agents of both parties and stamped by official seal/special seal for contractual uses.

本合同的所有条款由各方进行了充分的协商。银行已提请其他当事方特别注意有关免除或限制银行责任、银行单方拥有某些权利、增加其他当事方责任或限制其他当事方权利的条款，并对其作全面、准确的理解。银行已应其他当事方的要求对上述条款作出相应的说明。签约各方对本合同条款的理解完全一致。
All the clauses of the Contract shall be made by each party through adequate negotiation. The Bank has called any other party concerned attention to the clauses on exempting or restricting the liabilities of the Bank, certain rights unilaterally possessed by the Bank, increasing the liabilities of any other party concerned or restricting the rights of any other party concerned, and ensured an overall and accurate understanding of them. The Bank has made relevant explanations on the above clauses upon request of any other party concerned. Each party of the agreement shall have the exactly same understanding of the clauses of the Contract.
