THIS JOINT ASSESSMENT AGREEMENT (“Agreement”) is entered into on this XX day of XX, XX in Beijing
本联合评价协议（以下简称“本协议”）由下列双方于XX年XX月XX日在北京签署：

XXXXX Company Limited (hereinafter referred to as “XXXXX”), a Chinese enterprise and legal person duly organised and existing under the law of the People’s Republic

of China (“PRC”), with its headquarters in Beijing, China;
XXXXX天然气股份有限公司（以下简称“xxxxx”）,一家根据中华人民共和国（以下简称“XXXXX”）法律组成和存在，总部住所地在XXXXX北京市的公司；

and
和

yyyyyy China Inc[entity to be named], a company duly incorporated and existing under the laws of the Republic of Liberia, with a branch office registered in Beijing,

PRC (hereinafter referred to as “COPC”)

(Individually a “Party” and collectively the “Parties”).

WHEREAS

COPC visited Sichuan Oil and Gas Company, a wholly owned subsidiary of XXXXX, in February 2009 to collect samples from the Silurian Shale outcrop and discuss potential

collaboration in shale gas;

WHEREAS

Following several positive meetings on collaboration, COPC and XXXXX have agreed to jointly assess the area represented in the map in Annex 1 to this Agreement on the

terms set out in this Agreement; and

Based on the principles of sincere cooperation and mutual benefit, THE PARTIES HEREBY AGREE as follows:

Article 1 Definitions
第一条 定义
Unless the provisions of this Agreement otherwise provide, terms used herein shall have the following meanings:
除非上下文另有规定，以下词语应有下述规定的含义：

“Affiliate” means, in respect of XXXXX, its parent company, China National Petroleum Corporation (“CCCC”), and any subsidiary, branch or regional company or any

other entity in which, directly or indirectly, XXXXX holds 50% or more of the voting rights carried by its share capital.
  “关联公司”对“xxxxx”来说，指其母公司，XXXXX天然气集团公司（以下简称“xxxxx集团”），直接或间接被“xxxxx”控制的任何子公司，分支机构或地区公司及xxxxx直接或间接拥有

50%或超过50%的表决权的股份资本的任何实体。

“Affiliate” means, in respect of COPC:  
“关联公司”对“yyyyyy”来说，指
 (a) any entity in which COPC directly or indirectly holds fifty percent (50%) or more of the voting rights carried by the share capital of such entity; or
（a） yyyyyy直接或间接拥有50%或超过50%的表决权的股份资本的任何实体 ；
 (b) any entity which directly or indirectly holds fifty percent (50%) or more of the voting rights carried by the share capital of COPC; or
（b） 直接或间接拥有yyyyyy50%或超过50%的表决权的股份资本任何实体；
 (c) any other entity which directly or indirectly holds fifty percent (50%) or more of the voting rights carried by the share capital of an entity mentioned in (b)

above.
（c） 直接或间接拥有(b)款中提到任一实体的50%或超过50%的表决权股份资本的任何实体。

“Approval Date” means the date on which the Department appointed by the State Council provides written approval or acceptance of the proposed Sino-foreign assessment

cooperation contemplated herein.
“批准日”指国务院制定部门就本合同中的中外评价合作项目出具书面批准、接受文件的日期。

“Calendar Year” means the period as designated by the Gregorian calendar beginning on January 1st and ending on December 31 of that same year
“日历年”是指从公历一月一日起到同年十二月三十一日止的十二个连续公历月的期间。

“Data Package” means the data specified in Annex 2 currently existing and owned by XXXXX
“资料清单”指现由xxxxx所有并保存的附加2中列明的数据资料。

“The Department appointed by the State Council” means the Department appointed by the State Council to be in charge of the petroleum industry in the PRC.
“国务院指定的部门”是指国务院指定的主管中华人民共和国石油工业的部门。

 “Effective Date” means the date of the Parties’ signature of this Agreement
“生效日”指双方在本协议上签名的日期。

“Government” means the government of PRC, including but not limited to government ministries, the Civil Administration, government authorized agencies, government

office and/or bureau which have jurisdiction over the Project Area.
“政府”指中华人民共和国政府，包括但不限于对项目区域拥有管辖权的政府各部委、行政公署或组织、授权机关、办公厅和/或局。

“Joint Assessment” Means exploration and assessment and all associated work carried out within the Project Area in accordance with the Work Program and Budget.
“联合评价”是指按照工作计划和预算在项目区域内进行的勘探和评价以及所有相关工作。

“Joint Work Team” shall have the meaning ascribed to it in Article 6.2.
“联合工作小组”是指第6.2款所赋予的含义。

“Project Area” means the area stipulated in Article 3.1 and described in Annex 1.
“项目区域”是指第3.1款规定的区域，具体范围见本协议附件一圈定的合作区域。

“Phase I” shall have the meaning ascribed to it in Article 4.1.
“第一期”是指第4.1款所赋予的含义。

“Phase II” shall have the meaning ascribed to it in Article 4.2.
 “第二期”是指第4.2款所赋予的含义。

 “Steering Committee” means the committee stipulated in Article 6.1.
“指导委员会”是指第6.1款规定的委员会。

“Shale Gas” means all the natural gas storedoccurring in the shalesshale formations in the Project Area.
“页岩气”在本协议中是指在为项目区域中所储存的所有天然气。

“Technical Coordinator” means staff assigned in accordance with Article 6.2.2.
“技术协调员”是指根据第6.2.2款所指派的人员。

“Wilful Misconduct” means any act or failure to act (whether sole joint or concurrent) by any person or entity which was intended to cause, or which was in reckless

disregard or indifference to, harmful consequences such person or entity knew or should have known such act or failure to act would have on the safety or property of

another person or entity.
“故意不当行为”指任何个人或实体实施的故意或者轻率不顾后果造成危害的作为和不作为，并且该个人或实体知道或者应当那个知道其作为或不作为将给其他个人或实体的人身或财产安全造

成损害后果。
