Article 6 Governance 第六条 管理
6.1 Steering Committee 6.1 指导委员会
6.1.1 The Parties shall set up a Steering Committee within ten (10) days of the Effective Date of this Agreement. The Steering Committee shall be comprised of four (4) members. Each Party shall have the right to assign two members, the convenor shall be one of the members assigned by xxxxx.COP and will chair the Steering Committee meetings. The Steering Committee shall hold regular meetings in accordance with Article 6.1.3.
6.1.1 双方应在本协议生效日后十（10）天内成立指导委员会。指导委员会由（4）名成员组成，每方各派两名代表，会议召集人由yyyyyy公司指派。指导委员会应按照第6.1.3款规定定期召集会议。

6.1.2 The Steering Committee will have full authority to guide and supervise the Joint Assessment. All decisions of the Steering Committee shall be subject to the unanimous approval of the Parties. The Steering Committee shall attempt to resolve all differences through friendly consultation.
6.1.2 指导委员会对联合评价进行全面指导和监督。指导委员会的任何决定都要取得指导委员会全体成员一致同意。指导委员会应尽力通过友好协商的方式解决分歧。

6.1.3 The Steering Committee shall convene 2 to 4 meetings annually (or more as agreed by both Parties). All four (4) members, or their proxies, must be present at a meeting to form a quorum. In the event that any member cannot be present at a meeting, the Party which assigned the absent member shall assign another member to act as proxy for the absent member. xxxxx shall provide an agenda two (2) weeks ahead of each meeting. The minutes of meetings shall be recorded by xxxxx in both Chinese and English and agreed by both Parties.
6.1.3 指导委员会应每年度召开2至4次会议（或经双方同意可更多）。所有四（4）名成员或其代理人均需出席，会议方可进行。如果指导委员会的任何成员不能出席会议，则提名该代表的一方应另外指定一名临时代表充分行使该成员的权力。yyyyyy公司应在会议前至少提前两（2）周发出会议日程。会议记录应由yyyyyy以中文和英文记录并经双方同意。

6.1.4 The Work Program and Budget for each Phase of the Joint Assessment shall be prepared by xxxxx and submitted to the Steering Committee, and shall be approved by the Steering Committee within fifteen (15) days of submission.
6.1.4 关于联合评价的每一期的工作计划和预算应由yyyyyy公司准备并提交给指导委员会，指导委员会应在收到工作计划和预算后十五（15）天内作出批准。

6.1.5 In the event the Parties cannot agree upon a Work Plan and Budget, the Parties shall seek a solution through involvement of their senior management.
6.1.5 在就年度工作计划和预算无法达成一致时，双方应将该无法达成一致的问题通过各自的高级管理人员参与寻求解决办法。

6.2 Joint Work Team 6.2 联合工作小组

6.2.1 The Parties shall set up a joint work team within 10 days after the Effective Date of this Agreement (“Joint Work Team”). The Joint Work Team shall be comprised of members from both Parties, xxxxx staff will comprise approximately 2/3 of the team and XXXXX staff will comprise approximately 1\3 of the team. xxxxx through the Joint Work Team will be responsible for carrying out the Joint Assessment and implementing the Work Program and Budget.6.2.1 双方应在本协议生效日后十（10）日内成立联合工作小组。联合工作小组由双方人员组成，yyyyyy工作人员将占到小组大约三分之二，xxxxx工作人员将占大约三分之一。yyyyyy将通过该工作小组负责开展联合评价工作并执行工作计划和预算。

6.2.2 Both Parties will designate one member from their respective assigned staff on the Joint Work Team as their Technical Coordinator. The Technical Coordinator assigned by xxxxx shall direct the work of the Joint Work Team.
6.2.2 每一方应从其选派的联合工作小组成员中指定一人作为技术协调员。yyyyyy公司指派的技术协调员应领导联合工作小组的工作。6.2.3 XXXXX may send additional employees to participate in the Joint Assessment, subject to agreement by the Steering Committee. The costs of such additional staff shall be solely for XXXXX’s account and no monthly allowances will be paid by xxxxx in respect of such additional staff.
 6.2.3 xxxxx可额外派遣自己的员工参与联合评价工作，但这些人员派遣应获得指导委员会同意。xxxxx将负责额外人员的所有费用，并且yyyyyy将不会支付给上述额外人员月薪。 

Article 7 Rights and Obligations of the Parties 第七条 双方的权利和义务

7.1 Unless otherwise stipulated in this Agreement, the rights and obligations of XXXXX shall include but not be limited to:
7.1 除了本协议规定的其他权利义务外，xxxxx的权利和义务还包括但不限于以下内容：

(a) Subject to any confidentiality restrictions imposed on XXXXX under agreements with any government agencies or enterprises, XXXXX shall provide necessary and relevant data and material relevant to the Joint Assessment to xxxxx, and will use its best efforts to assist xxxxx in obtaining other necessary and relevant data from other government agencies or enterprises or any other third parties; 
(a) 在不违反xxxxx和其它政府部门或企业签订的保密协议的前提下，有义务向yyyyyy公司提供xxxxx拥有的与联合评价有关的必要和适当的资料，并尽最大努力协助yyyyyy公司获得其它政府机构或其它任何第三方拥有的联合评价所需的数据；

(b) In order to help the Joint Assessment, and in accordance with the approved Work Program and Budget, XXXXX will be entitled, in accordance with the provisions of Articles 6.2.1 and 6.2.3, to dispatch technical experts to the Joint Work Team that are necessary and able to satisfy the purpose of this Agreement;
(b) 根据批准通过的工作计划和预算，有权利按照第6.2.1条和第6.2.3条的规定向联合工作小组派遣必要而且能满足本协议目的的技术专家，以帮助联合评价的实施；

(c) XXXXX will be entitled to and shall work with xxxxx in analyzing and processing the data in accordance with the Work Program and Budget;
(c) 有权利和义务与yyyyyy公司一起按照指导委员会批准的工作计划和预算进行资料分析和处理；

(d) XXXXX will be responsible for securing access to the drilling site(s) in a timely fashion by agreement with individual land holders and local governments; failure to do so will constitute grounds for the Steering Committee to extend the term of this Agreement;
(d)(e) Pursuant to the February 1998 Measures for Area Registration and Management for Mining Exploration and Survey (“Mining Measures”), on the Effective Date of this Agreement,  XXXXX will apply for the right of foreign cooperation for this project from the Department appointed by the State Council and will use its best efforts to obtain, within one (1) month of the Effective Date, all necessary written permits, consents and government approvals necessary to enable xxxxx and XXXXX to lawfully perform their obligations and exercise their rights under this Agreement.  If XXXXX is not able to obtain said permits, consents, and approvals within such one month period, then xxxxx shall have no obligation to commence any of the Joint Assessment and shall have the option, at its sole discretion, to : (i) unilaterally terminate this Agreement, with no penalty or liability other than as expressly set forth herein; or (ii) extend the implementation time periods contemplated in this Agreement by the period of time corresponding to the delay in receipt of the approvals set forth above.
(e) 按照1998年2月颁布的矿产资源开产登记管理办法（以下简称“开采办法”）的规定，xxxxx在本协议生效日即应向国务院制定部门申请本项目的对外合作权，并尽最大努力在合同生效日后的一（1）个月内获得所有yyyyyy和xxxxx合法享受本协议权利，履行本协议义务所必须的书面许可、同意和政府批准文件。如果仲未有未能在上述一个月期限内获得以上的许可、同意和批准文件，则yyyyyy没有义务启动联合评价工作，并且yyyyyy有权根据其单方面的决定进行选择：(i) 单方面终止本协议，除非本协议另有明示规定，不产生任何罚金和责任；或者(ii) 根据上述批准文件推迟的时间顺延本协议下规定的项目执行期限；

(e) XXXXX represents and warrants that XXXXX:  （e）xxxxx陈述并保证xxxxx：

 (i)  holds a valid exploration and survey licence to conduct Shale Gas exploration in the Project Area issued in compliance with the Mining Measures (“Mining License”), a copy of which License is appended to this Agreement as Annex 4;
(i) 持有在项目区域内从事页岩气开采所需有效的根据开采办法颁发的开发和调查许可证（以下简称“开采许可”），开采许可的副本附在本协议的附件4；
 (ii)  has paid the necessary mining rights user fee and mineral exploration rights purchase price for the Project Area in compliance with the Mining Measures;
(ii) 已根据开采办法为开采区域支付所有开采权使用者费用 并开采权购买费用；
 (iii)  has to date made necessary minimum exploration expenditures for the Project Area in compliance with the Mining Measures; ;
 (iii)目前已根据开采办法为开采区域支付最低的开采花费；
 (iv)  shall take such actions and make such payments as are necessary to ensure that all necessary permits, license and other approvals necessary for the lawful implementation of the Agreement, including the Mining License and any required renewals thereof, will remain valid and in full force and effect throughout the term of this Agreement; and
(iv) 将为确保所有合法实施本协议必要的许可、执照和其他批准文件在本协议有效期间持续全面有效而采取行动、支付费用，包括开采执照和所有要求的续期许可；并且
  (v)  has all authority and authorization, including necessary land use permits, as required, in order for the Parties to lawfully implement this Agreement. 
(v) 拥有双方为执行本协议所有必要的权利和授权，包括所需的土地使用权。
 
(f) XXXXX will bear the cost of any rental or other payments associated with the Project Area whether under the Mining Licence or otherwise in the event any such rental or other payments become due during the term of this Agreement.
（f）xxxxx将支付所有租赁费用和项目区域内其他相关费用，无论上述费用是因在开采许可的规定下产生还是在本协议有效期内到期。
