7.2 Unless otherwise stipulated in this Agreement, the rights and obligations of xxxxx shall include but not be limited to:7.2 除了本协议规定的其他权利义务外，XX公司的权利和义务包括但不限于以下内容

(a) xxxxx shall make availableutilize where possible, subject at all times to compliance with relevant PRC and US export control and other applicable laws and regulations,  appropriate technologies as used in the international Shale Gas industry for the purpose of the Joint Assessment;
(a) yyyyyy将为实施联合评价提供国际页岩气领域的先进和适用的技术；

 (b) xxxxx will be liable for its costs and expenses arising under this Agreement, subject to the right of cost recovery set forth below but will not be liable for any costs, liabilities or other obligations after termination of this Agreement.
(b) yyyyyy公司承担本协议项下的所有费用，并有权按照本协议的规定回收上述费用，抗非公司不承担本协议终止后产生的任何费用，责任和其它义务。

(c) xxxxx will use its Affiliates’ successful experience in North America in the carrying out of work under the Work Program and Budget through the Joint Work Team.; 
(c) yyyyyy将综合运用其关联公司在北美的成功经验，通过联合工作小组按照工作计划和预算开展工作；

(d) In order to help the Joint Assessment, xxxxx is entitled to and shall dispatch additional technical experts to the Joint Work Team (in addition to the xxxxx representatives referenced in Articles 6.2.1 and 6.2.2) that xxxxx believes is necessary to be able to satisfy the purpose of this Agreement, the cost of which shall be recoverable under the PSC as Exploration Costs under Article 10;
(d) 有权利和义务向联合工作小组派遣额外的必要而且能满足本协议目的的技术专家（除去根据第6.2.1条和第6.2.2条规定派遣的yyyyyy代表），以实施联合评价。以上额外人员产生的费用将按照第10条的规定按照开采费用在产品分成合同中回收。

  (e) xxxxx will work closely with XXXXX in analyzing and processing data relating to the Joint Assessment in accordance with the Work Program and Budget. Any samples taken will be tested at an accredited laboratory in China agreed to by xxxxx and XXXXX. If a suitable laboratory cannot be found in China, XXXXX will assist in exporting the samples to a suitable laboratory in the USA or another country identified by xxxxx
（e） 有权利和义务与xxxxx一起按照指导委员会批准的工作计划和预算进行资料分析和处理。任何采集的样本都将在yyyyyy和xxxxx同意的具备资质的实验室中测试。如果在XXXXX找不到适合的实验室，xxxxx将协助将样本出口到美国或者yyyyyy指定的其他国家的适合实验室中进行测试。 

Article 8   Delivery of Data and Information Material 第八条 资料交付
 xxxxx shall pay a fee of XXX to XXXXX for the Data Package within fifteen (15) days of receipt of such Data Package. The data list of the Data Package is set out in Annex 2. XXXXX will use its best efforts to provide xxxxx with the Data Package within fifteen (15) days of the Effective Date of this Agreement, in instalments if necessary.
yyyyyy在收到资料包十五（15）日内向xxxxx支付费用XXX。资料包的资料清单在本协议附件2中列明。xxxxx将使用其最大努力在本协议生效日后十五（15）日内将资料包交付给yyyyyy，必要情

况下可分期交付。

Article 9  Non-Interference第九条 不得干扰

Both Parties understand that there may be ongoing oil and natural gas activities in the Project Area. XXXXX will provide xxxxx with a written report on the past, current and planned oil and gas activities in the Project Area of which XXXXX is aware within fifteen (15) days of the Effective Date of this Agreement. xxxxx shall use reasonable efforts to make sure that the Shale Gas activities under this Agreement will not interfere with, impede or harm any such oil and natural gas activities. XXXXX shall use reasonable efforts to make sure that the ongoing oil and natural gas activities will not interfere with, impede or harm the Shale Gas activities under this Agreement.
双方都了解，在项目区域可能存在某些正在进行的石油和天然气的作业。xxxxx将在本协议生效日后十五（15）日内给予yyyyyy一份书面报告，报告xxxxx知晓的项目区域内过去，现在和将来计划的石油天然气作业。yyyyyy公司将尽最大努力确保本协议项下的页岩气业务不会干扰、妨碍或危害已有的石油和天然气作业。xxxxx应尽最大努力确保上述业务不会干扰、妨碍或危害本协议项下的页岩气作业。
