Article 10 Expenses, Payment and Audit 第十条 费用、支付和审计
10.1 The costs and expenses incurred in carrying out the Joint Assessment shall be recorded by xxxxx in accordance with generally accepted accounting practices used in the international petroleum industry. The costs and expenses incurred in carrying out the Joint Assessment shall include but not be limited to the following items:
10.1联合评价的所有相关费用将由yyyyyy根据国际石油工业的惯例进行单独会计核算记录。联合评价的费用包括但不限于以下费用科目： a) Charges paid to third party and xxxxx’s Affiliate’s subcontractors (a)支付给第三方或者yyyyyy关联公司分包商的费用经批准的双方相关人员费用；
b) xxxxx and its Affiliates personnel expenses including everything constituting the employees total compensation, benefit, burdens, and other related costs (b)yyyyyy和其关联公司的人员费用，包括员工所有的薪酬，利益，负担和其他开支
c) Travel and living expenses paid to or for xxxxx and its Affiliates personnel involved in the Joint Assessment (c) yyyyyy和其关联公司人员发生的与联合评价相关的差旅、生活费的开支；
d) Expenses paid to purchase Material for use in the Joint Assessment (d)用于购买联合评价作业物资的费用；
e) Relocation and transportation expenses for the xxxxx and its Affiliates personnel involved in the Joint Assessment to be relocated into or out of the PRC and transferred from job-sites to job-sites within the PRC.
(e) yyyyyy和其关联公司人员为联合评价工作搬入或搬出XXXXX，或在XXXXX境内变换工作地点而产生的搬迁和交通费用。
f) Expenses for maintenance, repair or replacement of equipment used in the Joint Assessment and leasing expenses paid for leased equipment.
(f) 维护、修理、租赁费用：用于联合评价作业的财产维护、修理或更新费用以及支付租用财产、设备的租赁费用；
g) Payments made for the insurance of the Joint Assessment and related costs and expenses, including deductibles paid in the event of loss
(g)与联合评价作业相关的必要的保险费以及相关费用和开支，包括在损失时支付的免赔额；
h) All costs or expenses paid for attorney’s fees, litigation or investigation, including expenses in securing evidence, mediation and settlements
(h) 所有律师费，诉讼和调查费用，包括保存证据，进行仲裁或者和解的费用
i) All taxes paid according to the tax laws of the PRC, except for the income taxes of the Parties (i)按照中华人民共和国税法规定缴纳的所有税金，但不包括双方缴纳的所得税
j) All costs in respect of fuel, electricity, heat, water or other energy used and consumed for the Joint Assessments (j)为联合评价作业使用、消耗的燃料、电、热、水或其它能源的一切费用；
k) The costs and expenses of establishing, maintaining and operating any offices, camps or housing facilities necessary for the performance of job-site operations, including a share of the costs of any office used by staff directing such operations
k) 为执行现场作业产生的必要的设立，维护和运营办公场所，帐篷或房屋设备的费用，包括作业指导人员办公室的费用
l) The costs of acquiring, leasing, installing, operating, repairing and maintaining communication systems, including radio and microwave facilities and cellular telephones l) 购置，租赁，安装，使用，修理和维护通讯设备的费用，包括电台，微波设备和手机。

m) The charges for any health, safety, ecological or environmental measures undertaken for the Joint Assessment as required by relevant statutory regulations formulated by the authorities concerned, or by xxxxx’s policies pursuant to Article 18.
m) 根据相关部门规定的相关法律法规的要求或者第18条中yyyyyy的政策而为联合评价工作采取的的所有健康、安全、生态、环保措施产生的费用。
n) Technical service charges such as rock specimen analysis, oil quality tests, geological evaluation, data processing, design and engineering, well site geology, drilling supervision, special research programs and other technical services.
n)与联合评价作业相关岩石标本分析、石油质量测试、地质评价、数据处理、工程设计、井场地质、钻井监督、专题研究等其它技术服务的费用；
o) General service charges including professional consultant charges incurred for the Joint Assessment o) 为联合评价工作产生的服务费用，包括专业人员咨询费 p) All costs and expenses necessary for the repair, replacement or supplement of the assets resulting from damages or losses incurred by fire, flood, storm, theft or any other force majeure causes, p) 因大火、洪水、大雨、盗窃等其他不可抗力时间产生的为修理，替换，补充资产损失的所有费用
q) Costs incurred for personnel training including that under Article 14. q) 人员培训费用，包括第14条下规定的费用。
r) Any reasonable miscellaneous expenses needed for the Joint Assessment Operations excluded in the above items of expenses, such as bank charges, books, stationery and conference expenses as well as other reasonable expenses
r) 除去以上费用项目外联合评价工作中产生的一切合理杂项费用，例如银行手续费，账簿，文具和会议开支和其他合理费用。
s) A charge of 5% as overhead in lieu of xxxxx’s Affiliates’ indirect costs not otherwise chargeable hereunder for the managerial and operational services provided by xxxxx’s superior management organizations; and
s) 就其他yyyyyy上级管理机构规定的但不能根据本协议以管理和运营服务费形式收取的间接费用，收取替代该间接费用的5% 经常性开支。
t) Overheads: General and administrative expenses of offices established by xxxxx within the Chinese territory and for the Joint Work Team not otherwise directly chargeable in accordance with the provisions of the Contract.
t) 经常性开支： yyyyyy为联合工作小组在XXXXX境内设立的办公室的而产生的而不能根据本协议条款直接收取的一般行政管理费用
10.2 All expenses referred to in this Article 10, together with the data package fee referred to in Article 8, and XXXXX personnel costs referred to in Article 10.3 and approved by the Steering Committee, shall be paid and recovered under any future PSC as an exploration expense.
10.2 第10条提及的所有费用，第8条提及的资料包费用和第10.3条提及的xxxxx工作人员开销，经指导委员会批准后可在产品分成合同项下作为开采费用进行支付和回收。
10.3 The approved Work Program and Budget shall include the costs of XXXXX personnel acting as Steering Committee representatives or Joint Work Team members. 10.3 经批准的工作计划和预算应包括xxxxx工作人员作为指导委员会代表或者联合工作小组成员的费用。
The rates for XXXXX’s personnel are attached in Annex 3 and may be revised from time to time in writing by the Parties. 中方人员的费用标准见附件三，该费用标准双方可随时以书面形式修改。
Any payment by xxxxx under Article 6.2.1 for XXXXX personnel shall be made to XXXXX’s corporate bank account only within 30 days after receipt by xxxxx of appropriate documentation confirming the provision of the relevant services as reasonably required by xxxxx. No payments will be made by xxxxx directly to XXXXX personnel.
yyyyyy支付给xxxxx工作人员的所有费用将在yyyyyy收到相关服务的适当确认文件后30天内汇付至xxxxx的公司账户上，yyyyyy不会直接支付给xxxxx工作人员任何费用。
10.4 In procuring goods and services for the Joint Assessment, COP intends to employ a competitive tender process based on criteria established by COP. When purchasing any goods or services within the approved Work Plan and Budget, if the price per item or service package reaches or exceeds hhhhhhhhh, or the total value of a single contract or contract order reaches or exceeds USD five million ($5,000,000), it shall be presented before the Steering Committee for approval before payment.
10.4 在经批准的工作计划和预算内购买任何物品或服务产生的费用开支，如果单价达到或超过一百万（100）万美元，或单笔订单总额价款达到或超过hhhhhh美元，则在支付前应获得指导委员会的书面批准。
10.5 xxxxx shall make all payments related to the Joint Assessment subject to receipt of and in accordance with official PRC tax invoices. Such invoices shall be presented together with full back-up documentation including (but not limited to) statements with a detailed description of the expenditure, the nature of the expense and the approval documents stipulated in this Article 10.
10.5 yyyyyy公司应当根据XXXXX正式税务发票支付所有与联合评价有关的费用。该发票应与备份文件一起提交，备份文件包括（但不限于）足够详细的所有开支的说明和该开支的性质及第10款的批准文件。
10.6 After entering into a PSC, and upon providing xxxxx with thirty (30) days advance notice, XXXXX shall be entitled to review supporting documentation for the costs incurred under this Article 10 which are to be recoverable under that PSC. The audit right shall be exercised within twelve (12) months after the PSC is entered.
10.6 签订产品分成协议后，在提前三十（30）天通知yyyyyy公司的前提下，xxxxx有权审计yyyyyy公司与第10条规定的在产品分成合同下可回收的费用向关的所有帐目和财务记录。此帐目
和财务记录是指在产品分成合同项下可回收的费用。该审计的权利须在产品分成合同签订后十二（12）个月内行使。
