第十二条 新闻发布

If either Party wants to issue any public announcement or statement regarding this Agreement or the Joint Assessment it shall not do so unless the same Party shall first provide a copy of the proposed statement to the other Party and obtain the other Party’s written consent prior to release, such consent not to be unreasonably withheld. Notwithstanding the failure to secure approval, no Party shall be prohibited from making any public statements, if it is necessary to do so to comply with applicable laws, regulations, legal proceedings or the requirements of the Stock Exchange which has jurisdiction over the Party or any of its Affiliates.
如果一方希望就本协议或联合评价发表公开声明，在发表前，该方应提供给另一方声明的副本并取得另一方事前书面同意，另一方不得无故拒绝。如未取得同意，但为遵守所适用法律法规和条例、法律程序或对该方有管辖权的证券交易所的要求，一方不应被禁止发表公开声明。Article 13 Ownership and Intellectual Property Rights第十三条 所有权和知识产权

13.1 All of the data, materials, records, samples and other original documentation obtained during the performance of the Joint Assessment are the property of XXXXX. Without XXXXX’s consent, XXXXXX shall not transfer, license, offer as a gift, sell, publish or release the same to the public. XXXXXX shall be entitled to use such data, materials, records, samples and other original documentation within and outside the territory of PRC at its option. XXXXX shall do everything within its power to help XXXXXX obtain all necessary export licences. Subject to obtaining any necessary approvals and subject to the Confidentiality provisions in Article 11 of this Agreement, XXXXXX is entitled to preserve and keep copies of all such data, materials, records, samples and documentation.
13.1 所有在履行联合评价过程中获得的所有资料、记录、样品和其他原始资料，其所有权均应属于xxxxx，未经xxxxx同意，Xyyyyyy公司不得向公众转让、许可、作为礼物提交、出售、出版或公开。yyyyyy公司有权在XXXXX境内外使用前述资料、记录、样品和其他原始资料。xxxxx应尽最大努力帮助yyyyyy公司取得所有必要的出口许可。yyyyyy公司在得到必要的批准后，且在遵守本协议第十一条的保密义务的前提下，有权保留所有资料和记录的样品和副本。

13.2 Any new patents, copyrights and other intellectual property rights developed by the Parties as a result of activities connected with the Joint Assessment shall be the joint property of the Parties. Each Party and its Affiliates shall have the right to freely use all such intellectual property in their operations, including any other joint venture operations in which the Party or its Affiliates has an ownership or equity interest or is party to a PSC, without payment to the other Party. Notwithstanding the above, without obtaining the prior written consent from the other Party, a Party shall not disclose such intellectual property to any third party other than its Affiliates.
13.2 由双方在实施联合评价中共同新产生的所有专利、版权和其他知识产权，应属于双方共有。任一方及其关联公司有权在其运营过程中自由使用上述知识产权，包括在任何一方或其关联公司拥有股权或者是产品返程合同当事人的合营企业运营过程使用，而无须向另一方支付任何费用。但尽管存在上述规定，未经一方事先书面同意，另一方不得将这些信息披露给任何关联公司之外的第三方。

13.3 Nothing contained in this Agreement shall be construed as one Party conferring any intellectual property rights, existing now or in future, to the other Party.13.3本协议不应视为将一方或其关联公司所有或控制的任何现有或将来的知识产权，许可给另一方或授予其任何权利。

XXXXXX shall provide an introductory training program for the Joint Work Team and for XXXXX employees directly involved in the Joint Assessment, covering the fundamentals of shale gas exploration and development. The training may be provided by XXXXXX internal and/or external experts.  It is currently expected by the Parties that the training will be provided to [state # of individuals] staff of XXXXX for a one week period in China, for an approximate cost of mmm.
yyyyyy公司将对联合工作小组以及与直接参与联合评价工作的xxxxx员工提供入门培训项目，培训内容涵盖页岩气开采和开发的基础知识。这些培训可以由yyyyyy公司内部专家和/或任何外部专家提供。现预计上述培训将提供给xxxxx公司【 】籍的员工，培训在XXXXX境内进行，持续一周时间，培训费用预算为bbbbbb美元。
