Article 17 Notices 第十七条 通知
Any notice sent from one Party to the other shall be shall be effective when delivered in person or by courier service or, if sent by any electronic means of sending, when the sending Party has received written confirmation of receipt from the receiving Party. The Parties addresses for notices under this Agreement are:
任何由一方向另一方发送的通知，在亲自送达，通过快递服务送达或者通过电子方式送达的场合，通知在发送方收到接收方的接收书面确认书时生效。双方在本协议下接受通知的地址如下：
If there is any change to the above information, a Party shall notify the other Party in a timely fashion in accordance with the provisions of this Article 17.
如果上述信息发生任何变化，一方必须及时按照本条的规定通知另外一方。
Article 18 Health, Safety and Environmental Protection 第十八条 健康、安全和环境保护
The Joint Assessment under this Agreement shall be implemented according to relevant health, safety and environmental protection standards of XXXXXX. 本协议项下的联合评价应按照yyyyyy公司有关健康、安全和环境保护方面的标准执行。
Article 19 Liabilities and Indemnities 第十九条 责任和赔偿
19.1 XXXXXX shall indemnify and hold XXXXX harmless from and against any claims, losses, damages, costs, expenses or liabilities arising from or connected with the loss of or damage to XXXXXX or its Affiliates’ property and the death of or injury to XXXXXX or its Affiliates’ personnel in performing activities pursuant to this Agreement, except to the extent caused by the Wilful Misconduct of XXXXX.
19.1 在执行本协议过程中，yyyyyy应负责并使xxxxx免受任何与yyyyyy公司及其关联公司财产损失或损害相关或因此产生的；与yyyyyy公司或其关联公司雇佣的员工的在执行本协议过程中发生的伤亡或者人身伤害相关或因此产生的（由xxxxx的故意不当行为造成的除外）任何索赔、损失、损害、费用、开支或责任。

19.3 Each Party (“Indemnifying Party”) shall indemnify and hold harmless the other Party (“Indemnified Party”) for any damages, losses, penalties, or liabilities in any form arising from the Indemnifying Party’s: (i) failure to fully perform its obligations or warranties hereunder; or (ii) failure to ensure that its representations made hereunder are accurate and remain accurate throughout the term of this Agreement.
19.3 若任一方（“赔偿方”）(i)未能全面履行本协议下的义务和保证义务，或者(ii) 未能确保本协议下的陈述准确并在本协议期限内一直持续有效，影响另一方（“索赔方”）赔偿所有产生的赔偿金、损失、罚金或责任。
19.4 Notwithstanding Articles 19.1,19.2, and 19.3 above, under no circumstances shall: (i) either Party be liable to the other for pure economic losses including loss of profits or production, or for any indirect or consequential losses. 19.4 尽管有第19.1条、第19.2条和第19.3条的规定，任任何情形下，任一方对另一方的任何利润损失、产量损失、间接损失或后果性损失不应承担责任。
19.5 For the absence of doubt, it is agreed by the Parties that COP shall have no minimum expenditure obligation under this Agreement. The Parties agree that if COP spends the amount of US [$ figure] stated in Article 3.2.4 above in conducting the Joint Assessment, but is unable to complete a well due to the technical or commercial reasons set forth in Article 3.2.4 above, then COP shall nonetheless be deemed to have satisfied its obligations hereunder.
Article 20 Force Majeure第二十条
20.1 Neither Party shall be considered in default of the performance of any of its obligations hereunder, if any failure to perform or any delay in performing its obligations is the result of the following causes: The performance is prevented, hindered or delayed because of any event or combination of events which could not be foreseen and/or which is beyond the control of such Party; Any such event or combination of events is the direct cause of preventing, hindering or delaying of such Party's performance its obligations hereunder; and When any such event or combination of events has occurred, such Party has taken all reasonable actions to overcome any cause that prevents, hinders or delays performance of its obligations and insofar as is practicable continued to perform its obligations hereunder.
20.2 Notice of any event of force majeure and the conclusion thereof shall forthwith be given to the other Party by the Party claiming force majeure.
20.3 In the event of force majeure, the Parties shall immediately consult in order to find an equitable solution thereto and shall use all reasonable endeavors to minimize the consequences of such force majeure.20.4 If the Joint Assessment is partially or entirely suspended for at least thirty (30) days as a result of the force majeure referred to herein, the period of the Joint Assessment shall be extended by a period not exceeding the corresponding period of such suspension.
Article 21 Miscellaneous Provisions第二十一条其他
2021.1 Each Party shall conduct all of its activities pursuant to this Agreement in compliance with all laws, rules and regulations applicable to such Party. Each of the Parties represents and warrants that it has not made and will not make, with respect to the matters provided for hereunder, any payments, loans, gifts, or promises of payments, loans or gifts, directly or indirectly to or for the use or benefit of any official or employee of the Government or to or for the use of any political party, official, or candidate or to any other person if such payment, loan, or gift or promise or offer, would violate the laws or regulations of China and/or of the USA, including but not limited to the Foreign Corrupt Practices Act. Each Party shall respond promptly, and in full detail, to any notice from the other Party or its auditors pertaining to the above stated warranty and representation and shall furnish full documentary support for such response upon request from the other Party.
21.1 双方均应按照适用的所有法律、法规、条例、规则和条令，根据本协议开展所有的行动。双方陈述并保证，其过去从未并在将来也不会就本协议下的事项，作出支付费用、借款、赠予或者许诺支付、借款或赠予的行为，直接或间接用以供任何政府官员或政府工作人员使用或获利，或供任何政党，官员，候选人或其他人员使用或获利，如果上述支付、借款、赠予或者许诺支付、借款或赠予的行为违反了XXXXX和/或美国的法律，包括但不限于反海外腐败法案。在任一方或其审计机构或人员就上述陈述和保证事项发出通知后，另一方必须及时、全面地给出回应，并应对方要求就给出的回应提供全面的文件支持。
2021.2 Any change or amendment to this Agreement shall not be effective unless made in writing and signed by representatives authorized by both Parties. 21.2 对本协议所作任何变更修改，除非采取书面形式并经双方授权代表签署，不应生效。
2021.3 This Agreement represents the complete agreement between both Parties and replaces all prior understandings, negotiations or documentation.
21.3 本协议是双方之间的完整协议，它取代了双方以前所有谅解和洽谈或文件记录。
2021.4 This Agreement is written in both Chinese and English, and both versions will have equal force and effect.
21.4 本协议采用中文和英文书写，两种文字具同等效力。
2021.5 The Chinese and English version of the Agreement will be prepared in six (6) sets. Each Party will hold three (3) identical sets.
21.5 本协议中英文各一式六（6）份，具有同等效力，每方各执中英文三（3）份。
IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly authorized representatives on the date first above written.
双方授权各自代表于上述第一次所提日期签署本协议，以兹为证。

Note: Any XXXXX personnel assigned to the Joint Work Team in order to implement the Agreement is entitled to a fieldwork allowance equal to 30% of the monthly salary stipulated in the above table. In the event that relevant XXXXX staff work less than a full month during the Joint Assessment, then the staff’s relevant monthly fieldwork allowance shall be reduced accordingly, on a pro-rata basis based on the number of confirmed days worked. Any such allowances that are due and payable shall be paid only by wire transfer into an entity bank account in China registered in XXXXX’s name.
备注：为执行本协议而被派遣到本联合评价现场作业的任一中方人员，应获得相当于按本附件三所规定的月薪金和工资标准的百分之三十（30%）的作业补贴。如果任何相关xxxxx工作人员在联合评价工作中工作期限不满一个月，则其相关现场作业月薪金将相应减少，根据确认的工作时间按比例计算。所有相关薪金的支付都将以电传的方式汇入以xxxxx的名义在XXXXX开设的实体银行账号中。
