技术服务合同 Technical Service Contract
甲方：          （下称甲方）
Party A:           (hereinafter referred as Party A)
乙方：          （下称乙方）
Party B:           (hereinafter refereed as Party B)
经甲、乙双方友好协商，就甲方在中国境内办理农药产品正式登记所需毒性试验资料、大田药效试验资料、环境毒理试验资料、残留试验等资料，并上报中国农业部农药检定所，同时跟踪产品审批过程直到取得正式登记证。达成如下协议：
After an amicable negotiation between Party A and B, THE TECHNICAL SERVICE CONTRACT (the “Contract”) is concluded by two parties, under which Party A entrusts Party B to collect the data required for formal registration of pesticide in the territory of the People’s Republic of China, including toxicity test data, field efficacy test data, environmental toxicology test data and pesticide residue test data, to submit these data to Institute for the Control of Agrochemicals, Ministry of Agriculture of the People’s Republic of China, and to track the pesticide approval process until the formal registration certificate is issued. Accordingly, the parties agree as follows:
一、产品名称及登记作物及防治对象：I. Pesticide Name, Target Crop and Disease
（1） 70%代森锰锌水分散粒剂（登记作物：苹果树，防治对象：轮纹病）；
(1) 70% mancozeb water dispersible granules (target crop: apple tree; target disease: apple ring rot);
（2） 722克/升霜霉威盐酸盐水剂（登记作物：黄瓜，防治对象：霜霉病）
(2) 722g/L propamocarb hydrochloride (target crop: cucumber; target disease: cucumber downy mildew disease)

二、甲方权利与义务：
II. Rights and Obligations of Party A
1、甲方负责为乙方提供产品登记授权委托书；
1. Provide Party B with registration and authorization documents of the product;
2、甲方负责提供公司文件（营业执照复印件、公司简介）
2. Provide required documents of the company (business license copy, and company profile);
3、甲方负责按试验要求准备试验样品；
3. Prepare the test samples in terms of test requirements;
4、甲方负责准备产品化学资料（理化性质、项目控制指标、产品分析方法、提供GLP实验室出具的两年常温报告等；
4. Prepare data of the chemical (physicochemical property, project control indexes, product analysis method, and report on two-year’s storage at constant temperature issued by GLP Lab)
5、甲方负责按照乙方要求提供有可能在国际信息系统能查询的文献资料；
5. Provide the references that can probably be searched and found via international information system accordance with the requirements of Party B;
6、甲方可以随时询问乙方产品资料准备情况及登记办理情况，并有权督促乙方加快办理产品登记的各项工作；
6. Party A has the right to be informed of the data preparation and pesticide registration, and to supervise and urge Party B to speed up the work of pesticide registration;
7、 负责提供上述产品（PD）原药来源证明；
7. Provide the demonstration of technical product origin of above pesticides;
8、甲方负责根据试验进度支付以下费用：
8. Make payment in full for following expenses in line with test progress:
A，70%代森锰锌水分散粒剂各项试验及技术服务费；
A. Expenses on test and technical services for 70% mancozeb water dispersible granules;
（1）急性毒性6项试验费：人民币；
(1) Six acute toxicity tests: RMBmmmmm0 yuan;
（2）一年四地田间药效试验费：人民币；
(2) Field efficacy tests in four different sites: ggg yuan;
（3）环境毒性、残留（授权）费：gggg/人民币；
(3) Environmental toxicology and residue test (authorized): ggg yuan;
（4）室内毒力测定试验费：ggg/整人民币；
(4) Toxicity assessment test at ambient temperature: ggg0 yuan;
（4）质检报告、验证报告试验费：gggg0元整；
(5) Quality inspection report and verification report: RMBggg yuan;
（5）乙方技术服务费用：按照总费用15%支付即gggg元/整人民币。
(6) Technical service fees to Party B: 15% of total expenses, i.e. RMBgggg yuan.

B．722克/升霜霉威盐酸盐水剂各项试验及技术服务费；
B. Expenses on test and technical services for 722g/L propamocarb hydrochloride:
（1）急性毒性6项试验费：mmmmmm元/人民币；
(1) Six acute toxicity tests: RMB mmmm yuan;
（2）一年四地田间药效试验费：mmmm/人民币；
(2) Field efficacy tests in four different sites: mmmmmyuan;
（3）环境毒理5项试验费：mmmm/整人民币；
(3) Five tests of environmental toxicology: RMB mmmmm yuan;
（4）质检报告、验证报告试验费：mmmm/整人民币；
(4) Quality inspection report and verification report: mmmmmm yuan;
（5）乙方技术服务费用：按照总费用15%支付即mmmmmm/整人民币。
(5) Technical service fees to Party B: 15% of total expenses, i.e. mmmmyuan.

C．各项费用支付方式及时间：
C. Ways and time to make the payments for above expenses:
（1）各项试验费、技术服务费可按照支付当天美金汇率支付；
(1) Test expenses and technical service fees can be paid according to USD exchange rate on the day Party A makes the payment;
（2）各项试验开始前，按照乙方汇款通知支付各项费用。
(2) Expenses and fees should be paid according to the remittance notice from Party B before the test is started.
