三、乙方权利与义务：
III. Rights and Obligations of Party B
1、负责准备田间药效申报资料并负责上报农业部审批；
1. Prepare the field efficacy data and submit to the Ministry of Agriculture, P. R. C., for approval;
2、负责提供田间药效试验设计方案，负责联系安排田间药效试验，并负责收集试验报告（提供中文报告）；
2. Map out a plan for field efficacy test, organize and perform field efficacy test, and prepare a test report (in Chinese);
3、负责安排产品毒理学试验（急性经口、经皮、吸入、眼刺、皮刺、致敏试验，提供中文报告）；
3. Organize and perform the product toxicology test (acute mouth contact, skin contact, inhalation, eye irritation, skin irritation, and sensitization test, and prepare reports in Chinese);
4、负责安排质检报告及方法验证报告（提供中文报告）；
4. Prepare quality inspection report and methodology verification report (in Chinese)
5、负责安排722克/升霜霉威盐酸盐水剂环境毒理试验并收集报告（中文报告）；
5. Organize and perform the environmental toxicology test for 722g/L propamocarb hydrochloride, and prepare reports (in Chinese);
6、负责办理：70%代森锰锌水分散粒剂，登记作物：苹果树残留、环境授权书及授权资料；
6. Deal with the issues: 70% mancozeb water dispersible granules, target crop, apple tree residues, environmental authorization documents and relevant materials;
7、负责编写减免：722克/升霜霉威盐酸盐水剂（登记作物：黄瓜，防治对象：霜霉病）残留申请报告；

8、负责编写在中国境内已取得登记情况说明；
8. Prepare the documents confirming that the products have been registered in the territory of P. R. C.;
9、负责提供符合《农药登记资料要求》的正式登记申请表、产品摘要、标签样张、产品安全数据单等资料；
9. Prepare the formal application form for registration, product summary, label sample and list of product safety data according to the Requirements for Registration of Agrochemicals;
10、 负责上报登记材料，跟踪审批过程，并取证；
10. Submit registration data, track approval process, and take evidences;
11、 各项服务完成时间与农业部对外公布的审批承诺时间相同，乙方尽可能为甲方提前办理完成。
11. Service accomplishment time should be the approval time promised by the Ministry of Agriculture, P. R. C., while Party B must finish it as soon as possible;
12、 除以上未列项目，如甲方委托乙方完成，甲方需与乙方签署补充协议，所发生费用 由甲方负责。
12. If Party A entrusts Party B to perform the tasks that are not mentioned above, both parties should enter into a supplementary agreement and all and any expenses occurred should be borne by Party A.

四、仲裁
IV. Arbitration
本协议在执行过程中如发生争议，协商解决的方式，首先双方友好协商，若协商不成可提起仲裁，可直接向人民法院提起诉讼，诉讼费用由过错方承担。
All disputes arising in connection with the Contract or in the execution hereof, should be settled amicably through negotiations between the parties. If no mutually acceptable settlement of such dispute is reached, then such dispute should be firstly settled by arbitration or directly brought to the People’s Court. The costs occurred should be borne by the losing party.

五、协议解除方式
V. Termination
甲方取得上述两个产品正式登记证之日起，协议自动解除。
The Contract should have become invalid since the day Party A receives the Formal Registration Certificate of these two agrochemicals.

六、有效期限：
VI. Term
本协议自双方签字之日起生效，一式四份，甲乙双方各执二份，传真件加盖公章与本协议有同样效力。未尽事宜，甲、乙双方协商解决。
The Contract should be effective from the day of its signature by both parties. The Contract should be in quadruplication, two copies for each party. The facsimile copies with official seals should be of same effect with the Contract. Matters that are not mentioned herein should be settled amicably through negotiations between the parties
