The preferred company name is “YYYYY Machine Tool (Shanghai) Co.Ltd” or other closely similar name. The very name approved by the administrative department of industry and commerce will be adopted. In this document, the company is referred as ‘the new company’.
上海XXXXX机电设备有限公司已向中国政府申请La-g 商标的注册，已被中国政府受理。公司成立以后，申请的logo将以申请的成本价转入新公司。
Shanghai XXXXXElectromechanical Device Co.Ltd has made an application to the Chinese government for the registration of trademark La-g. The government has accepted the application for review. After the establishment of the new company, Shanghai XXXXXElectromechanical Device Co.Ltd is to transfer its trademark DDDDD to the new company at the registered cost price.
上海XXXXX机电设备有限公司将2012年2月份和ZZZZZ（上海）机械有限公司的所有业务和与该业务相关的全部应收款以在新公司成立后以买卖方式转入新公司。
Shanghai XXXXXElectromechanical Device Co.Ltd is to transfer all its business in February, 2012 with ZZZZZZZ (Shanghai) Machinery CO., LTD and all receivables related to the business to the new company in the buying and selling form.
所有注册资金在新公司成立后的3个月内全部到位。
All the registered capital should be in place in three months’ time after the establishment of the new company.

Before the establishment of the new company, Both AAAAand BBBB have contributed ￥XXXX,000 in their own names, to meet the preparatory group’s expenses before the establishment, including the expenses for the manufacture of the prototypes of bending machine, preliminary market operation, the building of reference-customers; salary and other expenses paid for the staff in the preparatory group, running expenses of the preparatory group; expenses for leasing and decorating new factory buildings, and for purchasing cars for the new factory buildings. Details of the expenses are to be provided in the financial statement. The preparatory group’s assets and liabilities are to be transferred to the new company after the establishment of it.

- 彼趣销售平台 Biqu sales platform
1）硒谷压铆机，祥生去毛刺机，德国银根制氮机，BTM 手钳等的销售；
1) The sale of Selenium (硒谷) squeeze riveters, Xiangsheng flash trimmers, German Yingen nitrogen making machine, BTM pliers, etc.
2）葛世意大利产折弯机， 剪板机的销售；
2) The sale of Geshi Italian-made bending machines, and guillotine shears.

公司组织架构由公司总经理议定，公司董事会成员讨论。
The company’s organizational structure is to be put forward by its general managers and be discussed by members of the Board of Directors.
新公司各股东主要应尽责任 Primary responsibilities of the new company’s shareholders
新公司各股东在新公司成立后，应尽以下相关责任
After the establishment of the new company, its shareholders should bear the responsibilities below:

The first shareholder, CCCC, corporate representative of Shanghai XXXXXElectromechanical Device Co.Ltd
1）注册资金按本协议要求到位；
⑴ to make sure that the registered capital is in place as required in this agreement;
2）负责新公司的具体运作，董事会决议的执行等；
⑵ to be in charge of the new company’s actual operation, and the execution of resolutions passed by the Board of Directors.
股东二，EEEEE
The second shareholder, EEEEE
1）注册资金按本协议要求到位；
⑴ to make sure that the registered capital is in place as required in this agreement;
2）负责新公司的技术研发，售后服务及供应链管理；
⑵ to be in charge of the new company’s technical research &development, after-sale services and supply chain management;
股东三，上海晟昶活动房有限公司 法人代表FFFFF
The third shareholder, FFFFF, corporate representative of Shanghai Shengchang Movable House Co. Ltd
1）注册资金按本协议要求到位；
⑴ to make sure that the registered capital is in place as required in this agreement;
2）在新公司成立以后的2个月内以其个人或其公司为新公司获得贷款SSSSS万元，贷款年利率在7%-9%之间。
⑵ to obtain a loan of ￥SSSS, 000 at an annual interest rate of between 7% and 9% in his own name, or in his company’s name, in two months’ time after the establishment of the new company

The fourth shareholder, an Italian company authorized by Adelino Gasparini
1）注册资金按本协议要求到位；
⑴ to make sure that the registered capital is in place as required in this agreement;
2）提供新公司技术支持，包括图纸，技术参数，包括以最低的价格提供新公司样机等。
⑵ to offer technical support to the new company, including graphs, technical parameter, and offer prototypes at the lowest price.
主要职责 Primary duties
定期拟定及审核公司预算，财务状况，报表
regularly work out and verify the new company’s budget, financial position and financial statements.
拟定及审核公司决策
work out and verify the new company’s decisions
按公司比例50%以上产生公司董事长，执行总经理
Pick General Managers and Executive Managers out of at least 50% of the entire staff of the new company
拟定及通过公司章程，公司行政管理制度，公司财务制度
Draw up and pass the new company’s regulations, administration system and financial rules.
