《设立外商控股、外商独资旅行社暂行规定》已经2003年5月19日中华人民共和国国家旅游局局长办公会和2003年6月10日中华人民共和国商务部第二次部务会议审议通过，现予以公布。“Provisional Regulations on Establishing Foreign Holding or Exclusively Foreign-Owned Travel Agencies” was considered and passed at the working conference of directors of National Tourism Administration of the People’s Republic of China on May 19, 2003 and the 2nd ministry meeting of Commerce of the People’s Republic of China on June 10, 2003, and is hereby promulgated as follows:

设立外商控股、外商独资旅行社暂行规定Provisional Regulations on Establishing Foreign Holding or Exclusive Foreign-Owned Travel Agencies

第一条 为适应中国加入世界贸易组织的新形势，进一步扩大旅游业对外开放，促进旅行社业发展，根据中国外商投资企业的相关法律、《旅行社管理条例》及有关规定，制定本《规定》。 Article 1 The “Regulations” have been formulated according to relevant laws on foreign-funded enterprises in China and provision in “Management Rules for Travel Agency” to get adapted to the new situation after China’s entry into the WTO, further open tourism industry to the outside world and promote development of travel agency.
　　
第二条 在中国有关入世承诺规定期限之前的过渡期内，在中华人民共和国境内设立外商控股或外商独资的旅行社，适用本《规定》。Article 2 Foreign holding or exclusive foreign-owned travel agencies, which are established inside PRC within the transitional period before the time limit for fulfilling the commitments China has made for entering the WTO, are subject to the “Regulations”.

第三条 设立外商控股旅行社的境外投资方，应符合下列条件：Article 3 The overseas investor which intends to establish foreign holding travel agency shall be consistent with the following conditions:
　　（一）是旅行社或者是主要从事旅游经营业务的企业；(1) It is a travel agency or an enterprise mainly engaged in tourism businesses;
　　（二）年旅游经营总额4000万美元以上；(2) Its total annual tourism business volume is over 40 million USD;
　　（三）是本国（地区）旅游行业协会的会员；(3) It is a member of tourism association of the country (area);
　　（四）具有良好的国际信誉和先进的旅行社管理经验；(4) It has desirable international reputation and advanced experience in management of travel agency;
　　（五）遵守中国法律及中国旅游业的有关法规。(5) It shall abide by Chinese laws and relevant rules of Chinese tourism industry.

第四条 设立外商独资旅行社的境外投资方，除应符合第三条第（一）、（三）、（四）、（五）款规定的条件外，第（二）款规定的年旅游经营总额应在5亿美元以上。Article 4 The overseas investor which intends to establish exclusively foreign-owned travel agency shall meet the condition that the total annual tourism business volume provided for in item (2) shall be over 500 million USD in addition to meeting the conditions provided for in (1), (3), (4) and (5).
　　

第五条 外商控股旅行社的中国投资者应当符合《旅行社管理条例》第二十九条规定的条件。Article 5 Chinese investors of foreign holding travel agency shall be consistent with conditions provided for in Art.29 of “Management Rules for Travel Agency”.
　　
第六条 设立的外商控股或外商独资旅行社应符合下列条件：Article 6 The foreign holding or exclusive foreign-owned travel agency that has been established shall be consistent with the following conditions:

 （一）符合旅游业发展规划；(1) Consistent with development planning of tourism industry;
（二）符合旅游市场需要；(2) Meet the demands in tourism market;
 （三）投资者符合上述第三条、第四条、第五条规定的条件；(3) The investors shall meet the conditions provided for in the aforesaid Art.3, Art.4 and Art.5;
（四）注册资本不少于400万元人民币。(4) The registered capital thereof shall not be less than RMB 4 million yuan.

第七条 符合条件的境外投资方可在经国务院批准的国家旅游度假区及北京、上海、广州、深圳、西安5个城市设立控股或独资旅行社。Article 7 Overseas investors consistent with the conditions may establish holding or exclusively-funded travel agency in the state tourism resorts approved by the State Council and 5 cities such as Beijing, Shanghai, Guangzhou, Shenzhen and Xi’an.

第八条 每个境外投资方申请设立外商控股或外商独资旅行社，一般只批准成立一家。Article 8 Generally speaking, each overseas investor will be only approved to establish one foreign holding or exclusively foreign-owned travel agency after submitting application thereon.
