第三十一条  设立外商投资旅行社，由中国投资者向国务院旅游行政主管部门提出申请，并提交本条例第十条规定的文件和符合本条例第三十条规定条件的证明文件。Article 31 Chinese investors shall submit application to tourism administrative department of the State Council and documents provided for in Art.10 and the certificates provided for in Art.30 of the “Rules” in case of establishing foreign-funded travel agency.

国务院旅游行政主管部门应当自受理申请之日起60日内对申请审查完毕，做出批准或者不批准的决定。Tourism administrative department of the State Council shall complete examination of the application and shall make decision on whether such application shall not approved or not within 60 days after it receives such application.

予以批准的，颁发《外商投资旅行社业务经营许可审定意见书》；不予批准的，应当书面通知申请人并说明理由。The tourism administrative department shall issue “Opinion on Examining Business License of Foreign-Funded Travel Agency” in case it approves the application, otherwise it shall inform the applicant in writing and explain the reasons.
   
申请人持《外商投资旅行社业务经营许可审定意见书》以及投资各方签订的合同、章程向国务院对外经济贸易主管部门提出设立外商投资企业的申请。The applicant shall submit application for establishing foreign-funded enterprise to the department in charge of foreign economy and trade of the State Council with the “Opinion on Examining Business License of Foreign-Funded Travel Agency, and contract and by-laws signed by various investors.

国务院对外经济贸易主管部门应当自受理申请之日起在有关法律、行政法规规定的时间内，对拟设立外商投资旅行社的合同、章程审查完毕，做出批准或者不批准的决定。The competent foreign economic and trade department of the State Council shall examine the contract and by-laws of the foreign-funded travel agency to be established and make decision on whether it will approve the application or not within the time limit provided for by relevant laws and administrative rules since the date of handling such application.

予以批准的，颁发《外商投资企业批准证书》，并通知申请人向国务院旅游行政主管部门领取《旅行社业务经营许可证》；不予批准的，应当书面通知申请人并说明理由。It s hall issue “Approving Certificate for Foreign-Funded Enterprise” in case it approves such application and shall inform the applicant to receive “Travel Agency Business License” from the department in charge of tourism of the State Council. Otherwise, it shall inform of the applicant in writing and explain the reasons.

申请人凭《旅行社业务经营许可证》和《外商投资企业批准证书》向工商行政管理机关办理外商投资旅行社的注册登记手续。The applicant shall go through formalities for registering the foreign-funded travel agency in the industrial and commercial administration with the “Travel Agency Business License” and “Approving Certificate for Foreign-Funded Enterprise”.
   

第三十二条 外商投资旅行社可以经营入境旅游业务和国内旅游业务。外商投资旅行社不得设立分支机构。Article 32 Foreign-funded travel agency may be engaged in entry tourism business and domestic tourism business, but shall not establish braches.
   
第三十三条 外商投资旅行社不得经营中国公民出国旅游业务以及中国其他地区的人赴香港特别行政区、澳门特别行政区和台湾地区旅游的业务。Article 33 Foreign-funded travel agency shall not be engaged in exit tourism business for Chinese citizens, or tourism business for people in other regions of China to travel to Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan Area.
