ARTICLE 7- OBSERVANCE OF LAWS AND REGULATIONS
第7条 遵守法律和法规
The VENDOR is aware of, and shall in all respects abide by, laws, decrees and regulations issued by any local or other authorities, and any rules or regulations issued by private or public organizations relating to its activity within the framework of the implementation of the PURCHASE ORDER. In the field of health and safety, in particular, the VENDOR acknowledges that it is aware of the applicable rules, the observance of which is an essential part of its obligations.
供应商应在所有方面遵守与其在执行采购定单的框架下的活动有关的，由任何地方政府机构或其他机构颁布的法律、法令、法规，以及私人或公共组织颁布的任何规则或法规。特别是在健康和安全领域，供应商确认其已知道相关的适用法规，遵守这些适用的法规是其基本义务。
Furthermore, should the VENDOR or its agents be present at SITE during the implementation of the PURCHASE ORDER, they shall in all respects abide by the rules and/or regulations applicable at Site.
此外，如果在执行采购定单的过程中，供应商或其代理人来到施工现场，则应在所有方面遵守适用于施工现场的规则和/或法规。
The VENDOR shall bear all the financial and/or administrative consequences incurred by FENCO, in particular, as a result of the failure of the VENDOR, or of its employees, subcontractors and vendors, to abide by the said laws, decrees, regulations or other above-mentioned documents.
对由供应商或其雇员、分包商、分包供应商未能遵守法律、法令、法规或其他以上提到的文件引起的，让FENCO公司发生的所有财务和/或管理费用，都应由供应商承担。

ARTICLE 8-ASSIGNMENT/SUBCONTRACTING/SUB-PURCHASE ORDERS
第8条 转让、分包和分采购定单
8.1 ASIGNMENT   转让
The VENDOR shall not assign all or part of the PURCHASE ORDER without FENCO’s prior written consent.
未经FENCO公司事先书面同意，供应商不得将采购定单的全部或部分进行转让。
In case of assignment, the VENDOR, as the initial recipient of the PURCHASE ORDER, shall remain jointly and severally liable for the execution of the PURCHASE ORDER –FENCO, except in the case of FENCO’s prior written agreement.
如果要进行转让，供应商作为初始接受采购定单的一方，应与受让方联合和各自承担执行采购定单的责任－除非经与FENCO公司事先达成书面协议。
8.2 SUBCONTRACTING/SUB-PURCHASE ORDERS  分包和分采购定单
In case of subcontracting and/or sub-PURCHASE ORDERS, the VENDOR remains wholly responsible during the implementation of the PURCHASE ORDER.
如果进行分包和/或分采购定单，在执行采购定单的过程中，供应商仍然保持执行采购定单的全部职责。

8.2.1 The VENDOR shall not subcontract all or any significant part of the SUPPLY without FENCO's prior written consent.

In case of subcontracting and/or sub-PURCHASE ORDERS placed by VENDOR with the sub-vendors in charge supplying raw materials or parts incorporated into the SUPPLY, the VENDOR shall provide FENCO with the list of sub-vendors, with an indication of the places of execution. FENCO reserves the right to reject sub-vendors.
如果供应商进行分包和/或分采购定单，由分包商负责提供供应品中的部分原材料或零部件，则供应商应向FENCO公司提供分包商的名单，并指明执行分包供应的地点。 FENCO公司保留拒绝接受分包商的权利。
Should FENCO ask for a copy of an unpriced subcontract and/or sub-PURCHASE ORDER, the said subcontract and/or sub-PURCHASE ORDER shall be final only if not rejected by FENCO.
如果FENCO公司要求供应商提供未显示价格的分包合同和/或分采购定单的复印件，则当且仅当分包合同和/或分采购定单未被FENCO公司拒绝时，为最终的分包合同和/或分采购定单。
8.2.2 Any subcontract and/or sub-PURCHASE ORDER shall necessarily include the same obligations as those to which the VENDOR has agreed in the PURCHASE ORDER, provided they are applicable to said subcontract and/or sub-PURCHASE ORDER. The VENDOR shall ensure that said subcontract and/or sub-PURCHASE ORDER is/are compatible with the PURCHASE ORDER.
任何分包合同和/或分采购定单，都应包括和供应商在采购订单下的义务一样的义务，只要这些义务适用于该等分包合同和/或分采购定单。供应商应确保该等分包合同和/或分采购定单与采购定单一致。
The VENDOR shall take all measures to ensure necessary co-ordination, and shall in any event remain fully responsible for the PURCHASE ORDER.
供应商应采取所有措施，确保分包合同和/或分采购定单与采购定单间必要的协调，并应在任何情况下都全部负责执行采购定单。
All sub-PURCHASE ORDERS shall bear the complete FENCO PURCHASE ORDER number and reference, as well as the following: "The goods supplied under this PURCHASE ORDER are subject to inspection by FENCO and/or their authorized representative and/or nominated Inspection Company.”
所有分采购定单都应载有FENCO公司的采购定单号和附注，包括如下附注： “根据本采购定单供应的货物都要经FENCO公司和/或其授权代表和/或其任命的检验公司检验。”
8.2 FENCO reserves the right to impose a sub-vendor VENDOR. Any associated conditions will be mutually agreed between the VENDOR and FENCO.
FENCO公司保留为供应商指定分包供应商的权利。任何与此相关联的条件都将由供应商和FENCO公司共同约定。
The VENDOR's responsibility remains complete during the implementation of the PURCHASE ORDER.
在执行采购定单的过程中，供应商一直保持执行采购定单的全部职责。
