第13条 进度表
13.1 The acceptance of the PURCHASE ORDER implies that the VENDOR irrevocably undertakes to meet the SCHEDULE, which is one of the essential conditions of the PURCHASE ORDER.
供应商接受采购定单就意味着其不可撤销地承诺满足进度表的要求，进度表是采购定单最基本的条件之一。
13.2 The VENDOR shall not be released from its obligation to meet the SCHEDULE except in case of Force Majeure as defined in Article 26 below, or for reasons of delay proven to be directly attributable to FENCO.
除非发生本“采购定单一般条件”第26条规定的不可抗力事件，或交货延迟被证明是直接由FENCO公司的原因造成的，供应商不应被免除满足进度表要求的义务。
13.3 Any failure by the VENDOR to meet the intermediate and/or final SCHEDULE shall give rise to the application of the liquidated damages for late delivery, as defined in the Special Conditions.
供应商未能满足当前和/或最后进度表的要求，则FENCO公司可因供应商延迟交货而要求其支付违约金，如“特别条件”中规定的那样。
Except in the case of an agreement between the parties concerning an extension of the SCHEDULE and its formalization in the form of an amendment to the PURCHASE ORDER, the said penalties shall be applied by right.
除非经双方协议对进度表进行延期，并以正式形式对采购定单做出修改，FENCO公司应有权要求供应商因未能满足进度表而支付违约罚金。
13.4 The application of the penalties shall not release the VENDOR from its obligations under the PURCHASE ORDER and shall be without prejudice to the provisions of Article 19 below and to FENCO's right to claim for damages.
要求供应商支付违约罚金，不应因此就免除供应商在采购定单下的义务，也不应损害FENCO公司根据以下第19条要求供应商支付损害赔偿金的权利。

ARTICLE 14- GUARANTEES
第14条  保证
The VENDOR's guarantees concerning the SUPPLY and the performances thereof are described in the PURCHASE ORDER.
供应商就供应品和供应品性能所做的保证，在采购定单中描述。
14.1 PERFORMANCE GUARANTEE   性能保证
The VENDOR guarantees that the SUPPLY shall meet the performances described in the PURCHASE ORDER.
供应商保证供应品应达到采购定单中规定的性能要求。
Should the said performances not be met wholly or in part, the VENDOR shall promptly proceed with any replacement, repair, change or adjustment necessary to meet the requirements of the PURCHASE ORDER. Replacements of parts may involve as much as the supply as new complete equipment conforming to the PURCHASE ORDER.
如果供应商的供应品全部或部分未能达到该等性能要求，则供应商应立即对供应品进行必要的替换、修理、改变或调整，以达到采购定单规定的性能要求。替换的范围包括从替换零件到用新的符合性能要求的设备替换原有性能不符合要求的设备。
Should the VENDOR be required to be present at SITE, it shall dispatch the necessary qualified employees for such purpose. In this respect, the VENDOR's scope shall be jointly defined with FENCO. The VENDOR shall bear all the costs incurred in connection with such operations, including transportation costs from its workshop to the place of destination of the SUPPLY, as well as the cost of dismantling and reassembly of the supply, insofar as the defects or malfunctions of the SUPPLY are attributable to the VENDOR. Should the VENDOR prove to FENCO's satisfaction that the defects or malfunctions of the SUPPLY are not attributable to the VENDOR, the above costs shall be reimbursed by FENCO to the VENDOR on the basis of substantiating documents.
如果供应商被要求到施工现场工作，则供应商应派遣必要的、有资格的雇员到施工现场工作。供应商在施工现场的工作范围应和FENCO公司共同确定。如果供应品出现瑕疵或故障是由供应商的原因造成的，供应商应承担其到施工现场工作发生的所有费用，包括从其车间到供应品交付目的地的运输费用、拆卸和再组装供应品产生的费用。如果供应商能满意地向FENCO公司证明供应品出现瑕疵或故障不是由供应商的原因造成的，则以上费用将根据供应商提供的证明文件，由FENCO公司偿付给供应商。
The performance guarantee shall end at the end of the mechanical guarantee described below.
供应商所做的性能保证应在以下规定的机械质保期到期后结束。
