15.1 Buyer agrees to hold in confidence and not to disclose to others without Seller's prior written permission, during a period of ten (10) years from the effective date of a Contract, any and all technical information relating to the Equipment or any part thereof disclosed to Buyer by Seller, except information which.

Was in the possession of Buyer at the time of disclosure as shown by its written records, and
(iii)  任何时候由对卖方不负有保密义务的第三方向买方披露的信息。
Is disclosed to Buyer at any time by a third Party owing no duty to Seller to keep the information confidential.

 Any combination of features shall not deemed to be within foregoing exceptions merely because individual features thereof are generally available to the public or in possession of the Buyer, but only if the combination itself and its principle of operation are generally available to the public or in possession of the Buyer.

15.2 Buyer agrees that it will not publish any articles relating to the technical solutions and concepts of the Equipment without first obtaining Seller's prior written permission.

15.3 Buyer agrees that it will not manufacture or sell or assign others to manufacture or sell, without prior written consent of Seller, any combination or part of the Equipment or corresponding system or equipment based on the technical solutions or concepts included in the Equipment being subject matter of this Contract, except for those for maintaining the Equipment under this Contract.

15.4 Buyer agrees to hold in confidence, not to disclose to others and not to copy or let to be copied any parts of the control programs without Seller's prior written permission.

Effectiveness of Contract and Miscellaneous
合同效力和杂项规定

16.1. This Contract is signed between the authorized representatives of both parties on ______________________and will be effective after the Seller has received the down payment of 25 % of the total contract price.
本合同由双方的授权代表于______________（日期）签订，并将在卖方收到买方所支付的相当于合同总价25％的预付款后生效。

16.2. This Contract is done in the English and Chinese languages, 4 (four) originals, Buyer 3 (three) and Seller 1 (one). English version is binding.
本合同用英文和中文写就，共有4（四）份正本，买方持有3（三）份，卖方持有1（一）份。本合同的英文本具有约束力。

16.3. Annexes No. 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 attached to this Contract form integral parts of this Contract and are equally authentic as this Contract text.
本合同的附录1、附录2、附录3、附录4、附录5、附录6、附录7、附录8、附录9、附录10，构成本合同不可分割的一部分，与合同正文具有同等效力。

16.4. Should any of the contents of this Contract be amended or supplemented, the authorized representatives of both parties shall sign documents, which shall form integral parts of this Contract.
如果本合同的任何内容需要修改或补充，双方的授权代表须签署文件对本合同做出修改或补充，该等修改或补充构成本合同不可分割的一部分。

16.5. All the correspondence between both parties for the execution of this Contract shall be written in the English language. Preference is to e-mail correspondence.

16.6. Contact persons, correspondence always to two persons from each party:

16.7. All correspondence between both parties prior to the signing of this Contract shall be null and void from the date of signing this Contract.
自本合同签署之日起，双方在签署合同之前的所有通讯均变为无效。

16.8. Any compensation to be paid by the Seller to the Buyer assumed under this Contract shall be only limited to the direct damages and losses suffered by the Buyer excluding consequential damages and losses.
卖方根据本合同而向买方支付的任何赔偿，均仅限于买方所蒙受的直接损害和损失，不包括任何后果性的损害和损失。

16.9. Any matter not covered in this Contract shall be discussed and decided by both parties at the later time.
