Consulting Contract

             （委托人全称，以下简称委托人）经招标选定           （联合体全称，以下简称咨询人）为本项目的咨询人，委托人与咨询人共同达成如下协议：
        (Full name of the client, hereinafter referred to as the client) chooses         (full name of the JV, hereinafter referred to as the consultant) as the project’s consultant through bidding and the client and the consultant have reached the following agreement:

1.1 词语定义
1.1 Definition on Words
（1）“工程”是指委托人委托咨询人实施工程咨询的工程。
(1) “Project” means the project entrusted by the client to the consultant for engineering consulting.
（2）“咨询人”是指承担工程咨询业务和工程咨询责任的一方，以及其合法继承人。如不特别指明，均包括无砟轨道铺设条件评估及外方质量代表。
 (2) “The consultant” means the party affording engineering consulting business and responsibility and its legal successor. It shall include appraisal staffs on construction conditions of ballastless track and the quality representative of foreign party if not otherwise specified. 
（3）“委托人”是指承担建设管理责任和委托咨询业务一方，以及其合法继承人。
 (3) “The client” is the party affording construction and management responsibility and entrusting consulting business and its legal successor.
（4）“咨询机构”是指本项目咨询人为完成本合同约定的工作而专门成立的机构。
 (4) “The consulting organization” means the organization specifically set up by the consultant of the project to finish the work specified in the Contract.
（5）“项目经理”是指经委托人同意，本项目咨询人派到咨询机构的全面履行本合同的全权负责人。
 (5) “Project manager” means the person that is sent by the consultant of the project to the consulting organization to fully take charge of the performance of the Contract
（6）“总评估师”是指经委托人同意，中方无砟轨道铺设条件评估方面的技术负责人。
 (6) “General appraiser” means the Chinese party’s technical director on appraisal of the construction conditions of ballastless track that has been agreed by the client.
（7）“外方首席质量代表”是指经委托人同意，外方质量代表方面的技术负责人。
 (7) “Chief quality representative of the foreign party” means the foreign party’s technical director on quality representation that has been agreed by the client.
（8）“工程咨询”是指根据本合同约定由咨询人提供的服务，包括正常工作、附加工作、额外工作。
 (8) “Engineering consulting” means the service supplied by the consultant as specified in the Contract, including normal work, additional work and extra work.
（9）“正常工作”是指双方在合同专用条款中约定，委托人委托的咨询工作范围和内容。
 (9) “Normal work” means the scope and contents of the consulting work as agreed by both parties in the specific terms of the Contract and entrusted by the client.
（14）“第三方”是指除咨询人和委托人以外的法人或其他组织。
 (14) “The third party” means any legal person or organization other than the consultant and the client.
（15）“不可抗力”是指双方均不能正常合理预见、避免、控制和克服，使得任何一方无法履行合同义务的客观事件，如战争、暴乱、破坏性地震、飞行物坠落、瘟疫等。
 (15) “Force majeure” means the objective events that both parties are unable to normally or properly forecast, avoid, control or overcome and make either party fails to perform its obligations under the Contract, such as war, riot, destructive earthquake, aircraft crash, and plague etc.

（16）“商业秘密”是指委托人、咨询人各自所拥有的，不公开的管理信息、商业数据、工程信息、技术方法、工艺方法、计算机源代码或文档等，或由委托人、咨询人在履行本合同时明确指明为商业秘密的，法律所认可的信息。
 (16) “Business secret” means the management information, business data, engineering information, technical methods, technique, computer source code or files etc that are respectively owned by the client and the consultant and are not public, or the information that are explicitly defined as business secret by the client or the consultant in performance of the Contract and have been recognized by law. 
（17）“缺陷责任期”是指本项目工程正式交付运营之时起连续一年的时间段。
 (17) “Defective Liability Period” means the time period lasting for 1 year after the project is formally finished and starts its operation.
（18）“国家”是指中华人民共和国。
 (18) “The country” means the People’s Republic of China.
（19）“日”是指任何一天零时至第二天零时的时间段。
 (19) “Day” means the time period from the zero hour of any day to that of the next day.
（20）“月”是指根据公历从一个月份中任何一天开始到下一个月相应日期的前一天的时间段。
(20) “Month” means the time period from any day of a month to the day before that day of the next month in the Gregorian calendar.
1.2 语言文字
1.2 Language and Writing
1.2.1 本合同文件用中文书写、解释和说明。如使用两种以上文字书写时，应以中文为准。
1.2.1 The Contract is written, explained and described in Chinese. If it’s written in over two languages, the other versions shall be subject to the Chinese version.
1.2.2 提交给委托人的文件，如有用非中文书写的，咨询人应提供中文翻译件，并以中文翻译件为准。
1.2.2 If any document submitted to the client is written in a language other than Chinese, the consultant shall supply Chinese version and the other versions shall be subject to the Chinese version.
