2.4 Termination for non-satisfaction 不满足终止
If: 如果：
(a) any of the Conditions set out in clause 2.1 is not satisfied or waived within 30 Business Days after the date of this Agreement or within 120 days after 6 February 2007 (whichever is the later) (“Conditions Period”); or      2.1条中规定的任何条件在本协议达成日后30个工作日内或2007年2月6日后120个自然日内（两个日期，以更后的日期为准）没有满足或放弃的 （“条件期”）；
(b) at any time during the Conditions Period, it becomes clear that one or more of the conditions will not be satisfied (for example, because an Approval required under clause 2.1(a) or clause 2.1(b) is refused by the relevant authority),    在条件期的任何时间，很明显其中的一个或多个条件不可能满足（例如，2.1(a) 或clause 2.1(b)项下的某个批准要求被相关部门拒绝）；
then, subject to clause 2.6, any Party may terminate this Agreement by notice in writing to the other Party, whereupon the Parties will have no further rights or obligations under this Agreement and no Claim against each other arising out of this Agreement except:

(b) such right or Claim as has accrued to one Party as a consequence of any prior breach of this Agreement by the other Party.     一方的作为另一方任何违反本协议的结果自然产生的权利。
2.5 Keep each other informed 保持对方知情
The Seller and the Purchaser must keep each other fully informed in relation to progress towards the satisfaction of the conditions referred to in clause 2.1 (“Conditions”), and each Party must promptly notify the other Party as soon as practical after each of the Conditions has been satisfied.  Upon giving of such notice, the Condition being notified will be deemed satisfied.         卖方和买方必须使对方完全知情2.1条规定（“条件“）的满足条件的进展，在每项条件满足后，双方必须尽可能及时通知对方， 一旦给出此类通知，该条件视为满足。
2.6 Rights on default 违反权利
If any Condition is not satisfied as a result of any breach of this Agreement by a Party (defaulting Party), this Agreement will not be liable to be terminated in accordance with clause 2.4, but instead such breach will constitute a breach of this Agreement by that defaulting Party which will entitle the other Party (non-defaulting Party) to:       如有任何条件没有满足造成一方违反本协议（违反方），本协议将无效，并根据2.4条终止，但违反方的违反行为构成对本协议的违反将使另一方（非违反方）获得权利：
(a) terminate this Agreement and recover damages from the defaulting Party; or     终止本协议并从违反方获得赔偿，或
(b) sue for specific performance of this Agreement and damages in addition to or in lieu thereof.    对本协议的特殊履行或赔偿以外或代替赔偿提出诉讼。
These rights are in addition to, and not in substitution for, all other rights which the non-defaulting Party may have at law or in equity in respect of the breach.
这些权利是非违反方其他所有权利以外的而非替代的权利。
