甲乙双方在平等互利、自愿和诚实信用的基础上达成如下合同。Party A and Party B, under the principles of mutual benefit, free will, honesty and credit, hereby conclude the following contract:
一、 甲方采购产品清单：见附表I. Product purchase list of Party A: see annex
由乙方负责将产品送到甲方指定地点，运费和运保费由乙方承担。Party B shall deliver the products to the place designated by Party A with carriage and insurance fee assumed by itself.

合同签订后乙方抓紧组织货物，自2007年5月1日后，在甲方发出供货通知后10日内，乙方需按供货通知中的种类、型号、数量进行交货。After this contract is signed, Party B shall get goods ready and deliver goods to Party A in accordance with the kind, type and amount stipulated in supply notice within 10 days after Party A sends the supply notice after May.1, 2007.

乙方所提供的产品必须符合国家规定的产品性能及生产厂家的产品质量标准，不得提供假冒伪劣产品。Products provided by Party B shall meet state product function standard and product quality standard of the manufacturer. Party B shall not provide fake and inferior products.

二、 服务和技术支持：Service and technical support:
1、 乙方在交付货物之日起10日内，负责完成网络系统的安装、调试。Party B shall complete the installation and debug of network system within 10 days after the goods are delivered.
2、 甲方需要的保修范围之外的其它服务及技术维护，应另行签署协议。The parties shall sign agreement on other services and technical support beyond the quality guarantee scope required by Party A.

乙方交付货物时，甲乙双方共同进行验收、并由双方确认合同供货清单内所列产品种类、型号、数量。When Party B delivers the goods, Party A and Party B shall carry out acceptance check together and confirm the kind, type and amount of products listed in supply list.验收无误后由甲方签署验收单。Party A shall sign the acceptance order after no problem is found in acceptance check.

2、 甲乙双方签定合同后，甲方向乙方支付全额货款。Party A shall pay to Party B all the contract price after they sign the contract.
3、 乙方根据甲方的供货通知交货时，根据分批供货的实际数额向甲方分批开据发票。In the event Party B delivers goods at Party A’s supply notice, it shall give invoice to Party A according to the actual price of each supply.

三、 保密原则Confidentiality
1、 甲乙双方对要协议的货物价格负有来格的保密责任。Party A and Party B shall strictly keep confidential contract product price.
2、 一方因泄露它方的专有信息造成的一切损失，由违约方负责赔偿。Where losses are caused to a party due to the disclosure of its proprietary information by another party, the party in breach shall compensate for such losses.
3、 在本协议其终止后二年内，本保密条款继续有效。This confidentiality term shall keep in force 2 years after this contract terminates.

1、 乙方除受《合同法》规定的不可抗拒力因素影响外发生下列行为，视为乙方违约，乙方应按照合同金额3‰每天付给甲方违约金：Unless caused by force majeure events stipulatedin Contract Law, Party B shall be deemed in breach where there is any of the following circumstances and shall pay 3‰ of contract price to Party A for each day：

① 乙方提供的货物型号与合同不符。The type of product provided by Party B is not consistent with this contract.
② 乙方不能按期供货。Party B fails to deliver goods on time.

①甲方不能如期按照合同约束的期限支付合同货款。①Party A fails to make payment in accordance with this contract.
②由于甲方原因造成验货、安装调试及运行等环节的延误。②Acceptance check, installation, debug or operation is delayed due to Party A’s fault.

四、 其它未尽事宜，甲乙双方另行签署协议。The parties shall sign agreement on other issues not covered in this contract.
十一、甲、乙双方因本合同而产生的争议应首先通过协商解决。11. Party A and Party B shall first seek to settle disputes arising from this contract through consultation.协商不能解决的，可选择甲方所在地的地区法院进行仲裁。Where consultation fails, the dispute may be submitted to the local court at Party A’s place for arbitration.
