OPERATION AND MANAGEMENT OF PROPERTY财产的操作和管理
The Purchaser acknowledges that the Unit constitutes an undivided interest in the Property to be held by the Purchaser as a tenant-in-common with all other owners of the Property (such owners of the Property, as they may change from time to time, being hereinafter referred to as the "Owners").买方承认本单元构成了买方作为分权业主与其它所有业主共同持有的财产中不可分割的权益 (财产的这些业主有时可能改变，以下统称作“业主们”)。 The Purchaser agrees that the following provisions shall govern any future sale of the Unit and any activity relating to the Property, which provisions shall constitute an agreement between the Purchaser, 1664531, and all other Owners from time to time:买方同意以下条款应适用本单元任何未来的销售以及任何与财产相关的活动，这些条款应构成买方、1664531和所有其他各时期的业主们之间的协议。

(a)(a) The Purchaser hereby appoints 1664531 as the manager and operator (the "Operator") of the Unit and the Property.买方由此指定1664531作为单元及财产的管理员和操作员（“操作员”）。
(b)(b) The Purchaser hereby assigns to the Operator all of the rights and obligations with respect to the Unit (and the Operator hereby accepts and assumes same) as necessary to enable the Operator to enter into contracts, documents or other instruments, registered or otherwise, in respect of the Property including, but without limitation, leases licenses, rights of way, easements, covenants or similar arrangement affecting, benefiting or burdening all or part of the Property upon such terms and conditions as the Operator shall deem advisable, (each, an "Encumbrance") and to cause the Operator to become primarily liable for the payment of Municipal Tax (as defined below), provided that:买方由此指派给操作员所有关于本单元（操作员由此也接受此指派）必要的权利和责任，以使操作员能够在其所认为明智的条款和条件下订立关于本财产的合同、文件或者其它记名或不记名票据，其中无限制地包括使全部或部分的财产受影响、受益或者负担的租借许可证、取道权、地役权、契约和类似的协议(每项均为一种“他物权”)，并使操作员为市政税（定义如下）的支付承担首要责任, 前提是:

(i)(i)  if the Property is subject to an Encumbrance at the Closing Date, then the Operator shall assume the Owners’ obligations under such Encumbrance in exchange for an assignment by the Operator on behalf of the Owners (and the Purchaser hereby appoints the Operator as its true and lawful attorney for such purposes) to the Operator of any income payable thereunder, and the other provisions of this Section 3(b) shall apply as between the Purchaser and the Operator mutatis mutandis;如果财产在交割日时受限于一项他物权，则操作员应该在这样的他物权下承担起业主们的责任，由操作员代表业主们的利益(买方因此指定操作员就此目的作为其真实合法的代理人)换取一份转让，将项下任何可支付收益转让给操作员，并且此3（b）部分的其它条款做必要修正后应在买方和操作员之间适用。
(ii)(ii) if the income received by the Operator pursuant to Section 3(b)(i) or otherwise pursuant to any entitlement at law in a calendar year exceeds the Municipal Tax, then the surplus shall be used to pay additional expenses incurred by the Operator on behalf of the Owners;如果操作员根据3(b)(i)部分或另根据其它任何在法律上享有的权利在一个公历年中得到的收益超过了市政税，那么盈余部分应该用于支付操作员在代表业主们利益时引起的额外费用。
(iii) any Municipal Tax in excess of the income received by the Operator in a calendar year in connection with the Property, and any other tax, levy, liability or charge whatsoever related to the Property, shall be paid and deducted by the Operator from the proceeds otherwise distributable to the Owners upon sale of the Property and shall form a part of the Reimbursable Amount (as defined in Section 3(d)(v) below); and(iii) 任何超过操作员在一个公历年中所得的与财产相关的收入部分的市政税，以及其它任何与财产相关的税金、征收款、负债或者收费，应由操作员从财产销售中可分配给业主的收益中扣减支付，并且应该构成可偿还金额（如下面3(d)(v)所定义）的一部分;
