INTERPRETATION说明
Section 1.01 Definitions 1.01 定义
In this Deed unless the context otherwise requires:除非上下文另有要求，在本协议中:
(a)(a)  "Completion Date" has the meaning ascribed thereto in Section 4.02(a) hereof;"完成日"具有本文件4.02(a)部分中所予以的意义;

(e)(e)  "Put Right" means the right of the Vendor or Vendors, as applicable, to require the Purchaser to purchase all or any whole number of the Units granted by Section 2.01 hereof."销售选择权"指的是卖方或者卖方们（如适用）要求买方购买2.01部分中准予的单元的全部或者任何整数部分的权力;
(f)(f)  "Put Period" means each of:"销售选择期限"指以每一期限:
(i)(i) the period commencing on the expiry of sixty (60) months from the Effective Date and ending on the expiry of sixty-six (66) months from the Effective Date; and从生效日起陆拾 (60) 个月期满时开始，到生效日起陆拾陆（66）个月期满时结束之间的期限;
(ii)(ii) if the Vendors or Vendor, as applicable, is an individual:如果卖方或者卖方们（如适用）是个体:
(A)(A) if the Unit(s) is held solely in the name of the Vendor or by any number of Vendors as tenants in common, the period commencing on the date of the death of the Vendor or any one of them, or如果单元（众单元）是以卖方的名义单独持有，或者是由任何数量的卖方们作为分权共有人而持有, 从卖方或者卖方们中任何一位的死亡日开始的期限;
(B)(B) if the Unit(s) is held by the Vendors as joint tenants, the period commencing on the date of the death of the last surviving Vendor,或者，如果单元（众单元）由卖方们作为联权共有人持有, 从其中最后一位活着的卖方的死亡日开始的期限,
and ending on the expiry of six (6) months from such date,并在这样的日期开始后陆（6）个月期满时结束,

(a)(a)  References to sections, subsections, paragraphs, clauses and/or schedules are references to sections, subsections, paragraphs, clauses and/or schedules hereto.当提及到章、节、段、条和/或附录, 指的是本文件的章、节、段、条和/或附录。
(b)(b)  The headings to the sections, subsections, paragraphs, clauses and/or schedules are for ease of reference only and shall be ignored in interpreting the provisions hereof.章、节、段、条和/或附录的标题仅是为了提及的便利，并应在解释其中条款时予以忽略。
(c)(c)  The singular includes the plural and vice versa and references to any gender include any other gender.单数形式包括了复数，反之亦然，并且对任一性别的提及包括了任何另外的性别。
ARTICLE TWO第二条
THE PUT RIGHT销售选择权
Section 2.01 Granting of Put Right 2.01 准予销售选择权
In consideration of the premises hereto and the mutual covenants set forth in relation to the Put Right in this Agreement, the Purchaser hereby grants to the Vendor or Vendors, as applicable, the right for the Vendor or Vendors, as applicable, to sell all or any whole number of the Units, during the applicable Put Period, to the Purchaser for the Sale Price, on a per Unit basis, under the terms and conditions of this Agreement.考虑到本文件的前提及在本协议中就销售选择权所订立的共同承诺, 买方由此准予给卖方或者卖方们（如适用），在适用的销售选择权期限内，在本协议的条款和条件下，卖方或者卖方们（如适用）向买方按以每单元为单位的销售价格销售所有或任何整数部分单元的权力。
Section 2.02 Indemnity2.02 赔偿
If the Vendor or Vendors, as applicable, exercises the right granted under Section 2.01 hereof, in accordance with the terms and provisions of this Agreement, the Purchaser shall be responsible for the payment of, and indemnify the Vendor or Vendors, as applicable, for:如果卖方或者卖方们（如适用）根据本协议的条件和条款，行使本文件2.01部分所准予的权力, 买方应对如下的付款负责, 并就下列对卖方或者卖方们（如适用）做出赔偿:
(a)(a) any reasonable land transfer taxes, registration fees and similar costs paid in relation to a sale of all or any whole number of the Units provided that such amount may not exceed Five Hundred Canadian Dollars ($500.00), calculated on a per Unit basis in respect of which such costs are incurred; and任何关于销售全部或任何整数部分的众单元而支出的合理的土地转让税、注册费和类似费用，前提是以发生这样费用的单元的每单元为单位计算，这样的金额不得超过伍佰加拿大元($500.00);
(b)(b) if applicable, any Ontario estate administration tax and associated legal fees paid during the Put Period in respect of a transfer of all or any whole number of the Units, provided that any such legal fees are expressly authorized by the Purchaser prior to the time incurred and that such amount may not exceed Seven Hundred and Fifty Canadian Dollars ($750.00), calculated on a per Unit basis in respect of which such costs are incurred.如果适用, 在销售选择权期间支付的关于转让所有或者任意整数部分众单元的任何安大略不动产管理税和关联的法律费用, 前提是这样的法律费用在发生之前由买方明确授权认可，并且以发生这样费用的单元的每单元为单位计算，其金额不得超过柒佰伍拾加拿大元($750.00)。
