8  Power of Sale and Application of Proceeds 出售和获得收益的权利
8.1  Priority of payments 优先支付
Any moneys realised as the result of any action taken to enforce this Deed must, after payment of any prior ranking claims and costs of enforcement or realisation and such outgoings as the Enforcing Party thinks fit to pay be distributed and applied in the following order or priority:采取合同项下规定的行动所获得的任何资金，在支付优先权项目、执行或变卖费用以及执行方认为应当支付的费用后，按照以下顺序或优先项目分配：
(a)(a)  first, towards satisfaction of the remuneration of any Enforcing Party or agent of an Enforcing Party; 首先，支付执行方或者执行方代理人的报酬；
(b)(b)  secondly, in order of priority, to each holder of an Encumbrance of which the Enforcing Party is aware and which has priority over this Deed (if any), insofar as the moneys realised relate to the assets over which that Encumbrance is held; 其次，按照优先的顺序，支付给执行方知晓的各个财产负担的权利人，在这一优先权应当优先于本契约（如果有的话）的情况下，并且限于在资产变现的价金超出财产负担的范围内；
(c)(c)  thirdly, in payment of Secured Moneys pro rata in proportion to the respective claims of each Chargee other than any Chargee who notifies the Manager that it does not wish to participate in the distribution of such moneys; and 第三，将担保资金在各承押人之间按比例分配，其中通知管理人不参与这种资金分配的承押人除外；以及
(d)(d)  fourthly, to the extent not otherwise applied in accordance with the above, subject to moneys secured by subsequent securities or other proper claims, to the Chargor or as directed by it.第四，按照上述规定的顺序分配后，按照其他担保、其他权利要求、抵押人的顺序分配。

8.2  No interest and other matters 无利息以及其他事项
Money available for application under clause 8.1(d) does not bear interest.第8.1条(d)款规定分配的数额不包括利息。 A Chargee may discharge its liability to account for it by crediting it to an account in its books in the name of the person to whom it is payable, or by paying it into court.承押人可以通过在其账面上以收款人的名义设立账户、或者向法院支付应付款的方式解除其责任。

8.3  Credit only for amounts actually received 以实际收到的帐款入帐

In an application of money under clause 8.1, the Chargor is to be credited only with so much of that money as is actually received by the Chargee.对于按第8.1条规定使用的款项，抵押人应当以承押人实际收到款项的数目入账。 The credit dates from the time of receipt.入账的日期为款项收到之日。
8.4  Contingent sums 偶发的数额
