(Hereinafter called "AAAAA Canada")

A company duly incorporated under the laws of Belgium, having its head office in the City of Ghent, in the Country of Belgium  at Technologiepark, Zwijnaarde 3, 9052 Bent, Belgium

(Hereinafter called "AAAAA N.V.")

(AAAAA Canada and AAAAA N.V. being collectively referred to herein as “AAAAA”)

 WHEREAS AAAAA and Distributor (each a “Party and collectively the “Parties”) entered into a Distributor Agreement dated ______________ (the “Agreement”), wherein Distributor distributes certain Equipment manufactured by AAAAA under certain conditions;
鉴于，AAAAA和经销商（每一方简称为“协议一方”，各方合称为“协议各方”）于______________（日期）签订了一份经销商协议（简称“协议”），约定经销商在特定条件下经销由AAAAA制造的特定设备；

 AND WHEREAS the Parties wish to amend the Agreement as of the Effective Date to allow Distributor to distribute certain additional equipment as set forth in Schedule A (the “Additional Equipment”) subject to the terms and conditions contained herein (this “Amendment”);
鉴于协议各方希望自生效日起对协议进行修订，允许经销商依照本修订书（简称“本修订书”）列明的条款和条件经销附件A所列的其他附加设备（简称“附加设备”）；

 NOW THEREFORE IN CONSIDERATION of the mutual promises and covenants herein contained, the adequacy of which is hereby acknowledged by each of Parties, the Parties agree as follows:
在此，以双方的共同承诺和约定为约因（协议各方在此确认其充分性），协议各方约定如下：

1. During the Term of this Amendment (as defined below), AAAAA shall supply Distributor with Additional Equipment, and Distributor shall be entitled to distribute the Additional Equipment set forth in Schedule A of this Amendment, in the Territory set forth in Schedule A of this Amendment, and upon the specific conditions set forth in Schedule A of this Amendment.  Such distribution shall be made in accordance with the Agreement, except to the extent specifically contradicted in this Amendment, including Schedule A attached hereto.  AAAAA reserves the right to supply Distributor with equipment of equivalent functionality to the Additional Equipment instead of the Additional Equipment, upon reasonable written notice to Distributor, and such substitute equipment shall be deemed to be Additional Equipment to be distributed under the terms and conditions of this Amendment.
2. 在本修订书有效期内（具体参加下文），AAAAA将向经销商供应附加设备，经销商将有权在本修订书附件A规定的地域范围内，经销本修订书附件A列明的附加设备。此种经销应该按照协议的规定开展，本修订书（包括附件A）另有规定的除外。经合理书面通知经销商，AAAAA保留向经销商供应与附加设备具有同等功能的设备以替代附加设备的权利，且此种替代设备应被视为附加设备，依照本修订书的条款和条件进行经销。

3. The term of this Amendment shall be one (1) year from the Effective Date, unless earlier terminated in accordance with the terms of the Agreement or this Amendment, and shall automatically renew for additional one (1) year periods unless either Party notifies the other Party at least ninety (90) days prior to the renewal date of its intention not to renew the Agreement (collectively the “Term”).
4. 本修订书自生效日起生效，有效期为一（1）年，除非依照协议或本修订书规定的条件提前终止。除非协议一方在续展日之前至少提前九十（90）天通知协议其他当事方其决定不再续展协议，本修订书有效期将自动续展一（1）年（合称为“有效期”）。

5. AAAAA shall be entitled to terminate this Amendment upon fourteen (14) days’ written notice in the event that AAAAA determines, in its sole and reasonable discretion, that it is unable to supply Distributor with Additional Equipment or substitute equipment of equivalent functionality for any reason.
6. 如果经过单独合理的判断，出于任何原因，AAAAA认为其无法向经销商供应附加设备或者具有同等功能的替代设备，经提前十四（14）天书面通知，AAAAA将有权终止本修订书。

7. All payments for the Additional Equipment will be made by wire transfer, notwithstanding any specific payment terms that have been negotiated in the Agreement.  All other payment terms respecting the Equipment shall apply to the Additional Equipment, unless otherwise specified in Schedule A of this Amendment.
8. 尽管协议商定了特殊支付条款，附加设备的所有付款以电汇方式支付。与设备有关的所有其他付款条件对附加设备也适用，本修订书附件A另有规定的除外。

9. During the Term, the Distributor shall not directly or indirectly promote or sell equipment similar to or competing in any way with the Additional Equipment, except the specific equipment described in the exemption section of Schedule A.  Additionally, in the event that Distributor terminates the Agreement and/or this Amendment for any reason, Distributor shall not directly or indirectly promote or sell equipment similar to or competing in any way with the Additional Equipment for a period of one (1) year after such termination.
10. 在有效期内，经销商不得直接或间接促销或销售在任何形式下与附加设备类似或竞争的设备，附件A除外条款列明的特殊设备除外。另外，如果因为任何原因，经销商终止协议和/或本修订书，在终止之后一（1）年之内，经销商不得直接或间接促销或销售在任何形式下与附加设备类似或竞争的设备。

11. Except as expressly modified by this Amendment, all terms, conditions and provisions of the Agreement shall continue in full force and effect.  All capitalized terms herein shall have the meanings set forth in the Agreement unless otherwise defined herein.  To the extent of any conflict between this Amendment and the Agreement, the terms and conditions of this Amendment shall prevail.  This Amendment may not be altered, amended, or modified except by a written instrument signed by the duly authorized representatives of both parties.
12. 除了本修订书明确修订的内容之外，协议的所有条款、条件和规定将继续具有完全效力。除非本修订书另有规定，协议里对术语的释义对本修订书中所有大写术语适用。如果本修订书和协议有任何冲突，本修订书的条款和条件将优先适用。非经协议各方正当授权代表签署书面文件，不得对本协议进行修改、修订或变更。

13. This Amendment may be signed in two or more identical counterparts each of which will be deemed to be an original and all of which together will constitute one and the same instrument.  Signing of this Amendment and transmission by facsimile document transfer will be acceptable and binding upon the parties hereto.
14. 本修订书一式两份或多份签署，每一份都被视为原件，且全部构成一份相同的文书。通过传真文件签署和传送本修订书可为协议各方接受，并对协议各方有约束力。

The parties executed this Amendment on the date(s) set out below after having the opportunity to discuss this Amendment with their legal advisors.  Each party represents and warrants that its respective signatory is duly authorized to execute this Amendment on its behalf.
