2.1卖方应负责本合同项下的设计工作，并确保其设计符合本合同技术协议、国家及当地政府相关部门的技术规范和标准的要求，以及确保其没有任何的缺陷和并能够按照本合同规定进行施工和交付工程。

Seller shall undertake and be responsible for all the design works under this Contract, which must comply with the Technical Specification and national government bureau and local government’s technical specification and regulation, which must be free from defect and sufficient to enable the construction and delivery of the Works to the extent required under this Contract.

2.2 卖方应按进度计划的规定，提供设计图纸及设计文件给买方，买方将进行审查，如设计不符合合同的要求，则卖方将按要求进行修正并重新递交，并承担因此而产生的所有费用。Seller shall deliver the drawing and design document to Buyer for review, if the design doesn′t meet the Contract requirement, Seller shall rectify according to the requirement and resubmit at its cost.

 

2.3 对于卖方所提交的所有设计图纸及相关文件，卖方拥有版权以及其他知识产权。Seller shall retain the copyright and other intellectual property rights to all drawing and design document made by Seller.

 

2.4 如果在卖方文件中发现有错误、遗漏、含糊、不一致、不适当或其他缺陷，尽管根据本条买方做出了任何同意或批准，卖方仍应自费对这些缺陷和其带来的工程问题进行改正。If errors, omissions, ambiguities, inconsistence, inadequacies or other defects are found in the Seller’s documents, they and the works shall be corrected at Seller’s cost, notwithstanding any consent or approval under this Clause.

 

3.1 质量保证Quality Assurance

卖方应保证所提供的货物为全新的，未使用过的，在正常使用时不会发生因设计、材料、工艺或因卖方的行为或疏忽而导致的缺陷。货物应符合合同规定的质量、规格和性能。卖方还需进一步保证如果设备在卖方的监督下正确组装且操作和维修都严格按照卖方提供的手册执行，货物能成功试运行并被买方接受，在使用寿命内能保持性能良好。The Seller warrants that the Goods supplied under the Contract are brand new, unused and have no defect arising from improper design, materials or workmanship or from any act or omission of the Seller that may develop under normal use, and comply in all respects with quality, specification and performance stipulated in the Contract. The Seller shall further warrant that the Goods, when correctly erected as part of the Works under the Seller’s supervision and properly operated and maintained according to the manuals furnished by the Seller under the Contract will be successfully commissioned and duly acceptable to the Buyer’s satisfaction and shall give satisfactory performance during its life.

 

卖方保证买方在中国使用该货物不受到第三方提出的侵犯其专利权、商标权或工业设计权等索赔的影响。The Seller shall indemnify the Buyer against all third party claims for infringement of patent, trademark or industrial design rights arising from use of the Goods or any part thereof in the P. R. China. The Seller shall be responsible for any loss incurred therefore by the Buyer.

3.2装运港 Port of Shipment

3.3 包装Packing

除合同中另有规定外，合同项下货物应采用严格的包装及防护措施。此包装应适合长途海运及陆运并不受潮湿、冷冻、颠簸、锈蚀、和粗暴装卸之损失，保证货物到达现场时不受上述原因的影响。Unless otherwise specified in the Contract, the Goods shall be packed to highly standard protective measures. Such packing shall be suitable for Long-distance ocean and inland transportation and well protected against dampness, moisture, freezing, shock, rust and rough handling so as to ensure that the Goods will safely arrive at the site without any damage due to the above – mentioned reasons.

 

在每一包装件中应附有一份详细的箱单和检验证书。如用木箱包装，在每一包装箱上必须有不褪色的、醒目的IPPC标记。In each package, there shall be one copy of each of the detailed packing list and the inspection certificate. IPPC should be marked indelible and legibly if packed with wooden cases.

 

当采用集装箱运输时，大于8 X 8 X 40（英尺）的集装箱将不宜采用。集装箱中每一件货物的包装应符合上述包装要求适合铁路和公路运输。每件包装应标注清楚，以便分发方便。If containers are used for the packing of goods, a containers larger than 8 X 8 X 40 (cu ft) shall not be accepted. The individual packages contained in the containers shall be suitable for rail transportation and lorry or trucks and be packed as required above. All packages shall be marked and the contents listed to facilitate such orderly distribution.

       

合同货物应包装成适合海运并适合转运和内陆运输。如有必要，对于重型包装应采用托架以便在装卸货物时，运用吊具。如不便在外部采用吊具，包装上应提供固定的吊具和带孔螺栓或起吊装置以方便起吊搬运。The Goods shall be packed in a seaworthy manner and shall be fit for transshipment and inland transportation. Where necessary, heavy parts shall be mounted on skids so that slings can be readily attached in unloading and loading. If it is unsafe to apply an external sling to a package, attached slings, eyebolts or lifting devices shall be provided and shall project through the package for easy handling.

 

卖方应在发货前提前通知买方单独包装货物的最大尺寸，以便买方提前作好内陆运输可行性的考察。如卖方没能提前通知，所有分解超大件和额外处置超大件的费用，将由卖方支付。The Seller shall give a notice to Buyer for the size of any individual package before delivery to enable the Buyer to explore the possibility of handling such extra size. Failing to do so, all expenses arising there from it including but not limited to the cost for dismantling and making necessary arrangement for handling such large pieces shall be borne by the Seller.
