5.2运输短缺件和更换件的费用，包括海运费、陆运费和进口关税（如有）应由卖方承担。The cost for delivery of shortage and replacement under claim, which includes ocean and inland transportation and import duties (if occurred), shall be borne by the Seller.
5.3 在发运短缺件和更换件之前，卖方应传真给买方一份形式发票和装箱单并征得买方同意。如果卖方未能这样做，由此导致的任何额外费用均由卖方自行负担。Before shipment of shortage and replacement, the Seller shall send by fax the Buyer a copy of pro forma invoice and packing list for the Buyer’s confirmation. If the Seller fails to do so, all additional cost incurred will be borne by the Seller.
5.4对于应卖方要求将更换的故障部件退还卖方进行检验发生的费用由卖方承担,其检验结果要通知买方。If requested by the Seller, the removed faulty parts should be returned to the Seller for examination at the Seller’s expense. The results of the examination should be submitted to the Buyer.

Buyer agrees to indemnify the Seller from all claims (including claims of third parties) in connection with or resulting from the above mentioned defects.

5. 安装Installation

6. 竣工测试Test on Completion
7.1 卖方应提前14天将他可以进行每项竣工试验的日期通知买方，除非买方同意，竣工试验应按照以下顺序进行：
（a）启动前试验，应包括适当的检验和性能试验，以证明每项生产设备能够安全地承受下阶段（b）项试验。
（b）启动试验，应包括规定的操作试验，以证明工程或分项工程能够在所有可利用的操作条件下安全地操作。
（c）试运行，应证明工程或分项工程运行可靠，符合合同要求。
每项分项工程试运行成功后，分项工程即应被接收，并且卖方将出具接收证明。
在以下情形下，分项工程也应视为已接收：
a) 如果非因卖方的原因导致运营测试无法进行；
b) 如果买方拒绝接收分项工程，但是无权这么做；
c) 如果买方拒绝签署按照第7.1条的规定制作的运营测试协议；
d) 一旦买方开始运营分项工程。
The Seller shall give to the Buyer not less than 14 days' notice of the date after which the Seller will be ready to carry out each of the Tests on Completion. Unless otherwise agreed by Buyer, the Tests on Completion shall be carried out in the following sequence:
(a) pre?commissioning tests, which shall include the appropriate inspections and functional tests to demonstrate that each item of Plant can safely under?take the next stage;
(b) commissioning tests, which shall include the specified operational tests to demonstrate that the Works or Section can be operated safely and as specified, under all available operating conditions; and
(c) Trial operation, which shall demonstrate that the Gensets perform reliably and in accordance with the Contract.
After successful trial operation for each Genset, the Gensets shall be accepted and the seller will sign an according Taking-Over Certificate.
The Gensets shall also considered as accepted,
(a) if it was not possible to conduct the performance test due to reasons the Seller was not responsible for;
(b) if the Buyer refuses to accept the Gensets, without being entitled for it;
(c) if the Buyer refuses to sign a performance test protocol, set up according to this Clause 7.1.
(d);as soon as the Buyer operates the Gensets.
7.2 重新试验 Retesting
如果工程或某分项工程未能通过竣工试验，买方或卖方可要求按相同的条款和条件，重新进行此项未通过的试验和相关工程的竣工试验。If the Gensets, fail to pass the Tests on Completion, the Buyer or the Seller may require the failed Tests and Tests on Completion on any related work, to be repeated under the same terms and conditions.
7.3 未能通过竣工试验 Failure to Pass Tests on Completion
如果工程或某分项工程未能通过根据第7.2款[重新试验]的规定重新进行的竣工试验，买方应有权：
（a）下令根据第7.2款再次重复竣工试验；
If the Works, or a Section, fail to pass the Tests on Completion repeated under Sub-Clause 7.2 [Retesting], the Buyer shall be entitled to:
(a) order further repetition of Tests on Completion under Sub-Clause 7.2 [Retesting],
