13. 银行保函Bank Guarantee
预付款保函Advance Payment Bank Guarantee
卖方应在合同签订后的天内，提交金额为合同价格10%的预付款保函给买方审批，预付款保函的有效期应至提单上载明的时间，费用由卖方承担。The Seller shall furnish the Advance Payment Bank Guarantee according to the enclosed MWM draft (Exhibit A (1)) with amount of 10% of Contract Price.
保修期保函 Bank Guarantee for Warranty
在买方接收项目后，支付最后一笔付款之前，提交金额为合同价格5%的保修期保函给买方审批，有效期为整个保修期的银行保函，作为其在保修期内履行保修义务的担保。On receipt of full payment, the Seller shall furnish a Bank Guarantee according to the enclosed MWM draft for 5 % of Contract The valid period of bank guarantee will be until the expiry date of Warranty Period.
14. 延期罚金Delay Damages
如果卖方未能按照合同中进度计划的规定，在规定的工期内，即货到现场4个月内，未能完成本合同下规定的所有工作，包括但不限于设计、采购、运输、安装、测试及试运行工作，卖方应当为其违约行为向买方支付误期损害赔偿费。此项误期损害赔偿费应按照每天应付金额，以实际的延期的周数计算，罚金的计算按每７天（每周）扣除合同价格的0.5%，不足７天按７天计算。但是，误期损害赔偿费的最高限额为合同造价的5％，这些损害赔偿费不应解除卖方完成工程的义务，或合同规定得其可能承担的其他责任、义务或职责。

If the Seller fails to deliver all the Goods under the Contract in accordance with the schedule specified in the Contract and the Buyer sustains damages, Seller shall pay delay damage to Buyer. These delay damage shall be paid for each full week of delay, the delay damages is calculated as per 0.5% for the goods actually delayed for every seven (7) calendar days. However, the total amount due shall not exceed the maximum amount of 5% of the Contract Sum. These damages shall not relieve the Seller from his obligation to complete the Works, or from any other duties, obligations or responsibilities which he may have under the Contract. However the rights and remedies of the buyer in the event of delayed or non-delivery of the Gensets or Services by the Seller are exhaustively ruled in this Clause 14 and the Buyer shall have no other rights or remedies against the Seller in this respect.
15. 税收和关税Taxes and Duties
所有由中国政府对执行本合同或与执行本合同有关的行为向买方征收的税费由买方负担（索赔项下货物的税费和关税除外）。All taxes in connection with and in the execution of this Contract levied by the Chinese Government inside China shall be borne by the Buyer (except the taxes and duties for delivery of the repaired or replaced and shortage under claim).
所有由中国政府对执行本合同或与执行本合同有关的行为向卖方征收的税费由卖方负担。
所有发生在中国境外的因执行本合同而引起的税费由卖方承担。All taxes arising outside of China, in accordance with the execution of this Contract shall be borne by the Seller.
所有索赔项下货物修复或更换和短缺备件和组件所产生的关税和税收均由卖方承担.All taxes and duties for delivery of the repaired or replaced parts or components and shortage under claim in the duration of warrantee period shall be borne by the Seller.
