6.1 Steering Committee

 

6.1.1 The Parties shall set up a Steering Committee within ten (10) days of the Effective Date of this Agreement. The Steering Committee shall be comprised of four (4) members. Each Party shall have the right to assign two members, the convenor shall be one of the members assigned by XXXX and will chair the Steering Committee meetings. The Steering Committee shall hold regular meetings in accordance with Article 6.1.4

 

6.1.2 The Steering Committee will have full authority to guide and supervise the Joint Assessment. however the daily implementation of the Joint Assessment shall be carried out by the joint work team established pursuant to Article 6.2 below. All decisions of the Steering Committee shall be made unanimously through consultation by the members of the Steering Committee. All decisions of the Steering Committee shall be subject to the unanimous approval of the Parties. The Steering Committee shall attempt to resolve all differences through friendly consultation.

 

6.1.3 The Steering Committee shall be authorized to:

 

(i)      review and approve the Work Program and Budget proposed by XXXX for each Phase of the Joint Assessment as set forth in Article 6.1.5 below;

 

(ii)      review and approve safety and environmental protection programs that may be proposed by XXXX from time to time during the Joint Assessment; and

 

(iii)     review and approve matters required to be submitted to relevant authorities of the Government and / or XXXX for approval.

 

 

6.1.4 The Steering Committee shall convene 2 to 4 meetings annually (or more as agreed by both Parties). All four (4) members, or their proxies, must be present at a meeting to form a quorum. In the event that any member cannot be present at a meeting, the Party which assigned the absent member shall assign another member to act as proxy for the absent member. XXXX shall provide an agenda two (2) weeks ahead of each meeting. The minutes of meetings shall be recorded by XXXX in both Chinese and English and agreed by both Parties.

 

6.1.5 The Work Program and Budget for each Phase of the Joint Assessment shall be prepared by XXXX, shall include the proposed location of any well to be drilled in the coming calendar quarter and shall be submitted to the Steering Committee, Within thirty (30) days the Steering Committee shall review and adopt the Work Program and Budget and submit the Work Program and Budget for approval to XXXX [entity to be named] and XXXX [entity to be named] will give a response regarding the Work Program and Budget within this same timeframe. If no response is received from XXXX [entity to be named] within this timeframe, the Work Program and Budget shall be deemed approved.

           All costs and expenses incurred under an approved Work Program and Budget, (including those costs and expenses referenced at Articles 8 and 10), will be cost recoverable under any future PSC as an exploration expense.

 

6.1.6 In the event the Parties cannot agree upon a Work Plan and Budget, the Parties shall seek a solution through involvement of their senior management.

 

6.2 Joint Work Team

 

6.2.1 The Parties shall set up a joint work team within 10 days after the Effective Date of this Agreement (“Joint Work Team”). The Joint Work Team shall be comprised of members from both Parties, XXXX staff will comprise approximately 2/3 of the team and XXXX staff will comprise approximately 1\3 of the team. XXXX through the Joint Work Team will be responsible for carrying out the Joint Assessment and implementing the Work Program and Budget.

 

6.2.2 Both Parties will designate one member from their respective assigned staff on the Joint Work Team as their Technical Coordinator. The Technical Coordinator assigned by XXXX shall direct the work of the Joint Work Team.

 

6.2.3 XXXX may send additional employees to participate in the Joint Assessment, subject to agreement by the Steering Committee. The costs of such additional staff shall be solely for XXXX’s account and no monthly salaries or allowances will be paid by XXXX in respect of such additional staff.

6.1.4    指导委员会应每年度召开2至4次会议（或经双方同意可更多）。所有四（4）名成员或其代理人均需出席，会议方可进行。如果指导委员会的任何成员不能出席会议，则提名该代表的一方应另外指定一名临时代表充分行使该成员的权力。XXXX应在会议前至少提前两（2）周发出会议日程。会议记录应由XXXX以中文和英文记录并经双方同意。

6.1.5    XXXX所准备的联合评估每一阶段的工作计划和预案算方案应包括在下一个日历季对所有井进行钻探的地点，并应将其递交给指导委员会，指导委员会应在三十（30）天内对其进行审查和通过，并将其提交给XXXX【实体名待定】待其批准，XXXX【实体名待定】将在相同的时间段内就该工作计划和预算方案给予回复。如果在该时间段内没有收到XXXX【实体名待定】的任何回复，则该工作计划和预算方案应视作已获得批准。

已批准的工作计划和预算方案所产生的所有费用和开支（包括第8款和第10款所提到的那些费用和开支）在将来任何产品分成合同项下均应作为可收回的勘探费用。

6.1.6    在就工作计划和预算无法达成一致时，双方应将该无法达成一致的问题通过各自的高级管理人员参与寻求解决办法。

6.2.1    双方应在本协议生效日后十（10）日内成立联合工作小组（“联合工作小组”）。联合工作小组由双方人员组成，XXXX工作人员将占到小组大约三分之二，XXXX工作人员将占大约三分之一。XXXX将通过该工作小组负责开展联合评估工作并执行工作计划和预算方案。

6.2.2    每一方应从其选派的联合工作小组成员中指定一人作为技术协调员。XXXX指派的技术协调员应领导联合工作小组的工作。

6.2.3    XXXX可额外派遣自己的员工参与联合评估工作，但这些人员派遣应获得指导委员会同意。XXXX将负责额外人员的所有费用，并且XXXX将不会支付给上述额外人员月薪和津贴。
