Article 7 Rights and Obligations of the Parties
7.1 Unless otherwise stipulated in this Agreement, the rights and obligations of XXXX shall include but not be limited to:
(a) Subject to any confidentiality restrictions imposed on XXXX under agreements with any government agencies or enterprises, XXXX shall provide necessary and relevant data and material relevant to the Joint Assessment to XXXX, and will use its best efforts to assist XXXX in obtaining other necessary and relevant data from other government agencies or enterprises or any other third parties;
(b) In order to help the Joint Assessment, and in accordance with the approved Work Program and Budget, XXXX will be entitled, in accordance with the provisions of Articles 6.2.1 and 6.2.3, to dispatch technical experts to the Joint Work Team that are necessary and able to satisfy the purpose of this Agreement;
(c) XXXX will be entitled to and shall work with XXXX in analyzing and processing the data in accordance with the Work Program and Budget;
(d) XXXX will use its best endeavors to assist XXXX in obtaining land use rights, permits, land access and assist in the relocation and resettlements in a timely fashion as required in order to complete the Joint Assessment
(e) XXXX represents and warrants that XXXX:
(i) holds a valid exploration and survey licence to conduct Shale Gas exploration in the Project Area issued in compliance with the Mining Measures (“Mining License”), a copy of which License is appended to this Agreement as Annex 4;
(ii) has paid the necessary mining rights user fee and mineral exploration rights purchase price for the Project Area in compliance with the Mining Measures;
(iii) has to date made necessary minimum exploration expenditures for the Project Area in compliance with the Mining Measures;
(iv) shall take such actions and make such payments as are necessary to ensure that all necessary permits, license and other approvals necessary for the lawful implementation of the Agreement, including the Mining License and any required renewals thereof, will remain valid and in full force and effect throughout the term of this Agreement;
(v) has all authority and authorization, including necessary land use permits, as required, in order for the Parties to lawfully implement this Agreement; and
(vi) has all necessary written permits, consents and government approvals necessary to enable XXXX and XXXX to lawfully perform their obligations and exercise their rights under this Agreement.
(f) XXXX will bear the cost of any rental or other payments associated with the Project Area whether under the Mining Licence or otherwise in the event any such rental or other payments become due during the term of this Agreement.
7.2 Unless otherwise stipulated in this Agreement, the rights and obligations of XXXX shall include but not be limited to:
(a) XXXX shall utilize where possible, subject at all times to compliance with relevant XXXX and US export control and other applicable laws and regulations, appropriate technologies as used in the international Shale Gas industry for the purpose of the Joint Assessment;
(b) XXXX will be liable for its costs and expenses arising under this Agreement, subject to the right of cost recovery set forth below but will not be liable for any costs, liabilities or other obligations after termination of this Agreement.
(c) XXXX will use its Affiliates’ successful experience in North America in the carrying out of work under the Work Program and Budget through the Joint Work Team;
(d) In order to help the Joint Assessment, XXXX is entitled to and shall dispatch additional technical experts to the Joint Work Team (in addition to the XXXX representatives referenced in Articles 6.2.1 and 6.2.2) that XXXX believes is necessary to be able to satisfy the purpose of this Agreement, the cost of which shall be recoverable under the PSC as Exploration Costs under Article 10;
(e) XXXX will work closely with XXXX in analyzing and processing data relating to the Joint Assessment in accordance with the Work Program and Budget. Any samples taken will be tested at an accredited laboratory in China agreed to by XXXX and XXXX. If a suitable laboratory cannot be found in China, XXXX will assist in exporting the samples to a suitable laboratory in the USA or another country identified by XXXX
7.1 除非本协议另行规定，XXXX的权利和义务还包括但不限于以下内容： （a）在不违反XXXX和其它政府部门或企业签订的保密协议的前提下，有义务向XXXX提供与联合评估有关的必要和适当的资料，并尽最大努力协助XXXX获得其它政府机构,企业或其它任何第三方拥有的必要和适当的数据； （b）根据批准通过的工作计划和预算，有权利按照第6.2.1条和第6.2.3条的规定向联合工作小组派遣必要而且能满足本协议目的的技术专家，以帮助联合评估的实施； （c）有权利和义务与XXXX一起按照指导委员会批准的工作计划和预算进行资料分析和处理； （d）XXXX将尽最大的努力协助XXXX获得土地使用权和土地证，进场，并应向为了完成联合评估所开展的迁址和重新安置及时提供帮助。 （e）XXXX陈述并保证XXXX：
（1）持有在项目区域内从事页岩气开采所需而有效及根据开采办法颁发的开发和调查许可证（以下简称“开采许可”），开采许可的副本附在本协议的附件4；
（2）已根据开采办法为开采区域支付所有开采权使用者费用 并开采权购买费用；
（3）至今已根据开采办法为开采区域支付最低的开采花费；
（4）将为确保所有合法实施本协议必要的许可、执照和其他批准文件在本协议有效期间持续全面有效而采取行动、支付费用，包括开采执照和所有要求的续期许可；并且
（5）拥有双方为执行本协议所有必要的权利和授权，包括所需的土地使用权。
（6）获得使XXXX和XXXX根据本协议规定依法履行义务和行使权利所必须的所有证件、许可和政府批文。 （f）XXXX将支付所有租赁费用和项目区域内其他相关费用，无论上述费用是因在开采许可的规定下产生还是在本协议有效期内到期。
7.2 除非本协议另行规定，XXXX的权利和义务包括但不限于以下内容： （a）XXXX在任何时候应遵守中国和美国有关出口控制和其他适用的法律法规前提下，将尽可能为实施联合评估提供国际页岩气领域的适用的技术； （b）XXXX承担其在本协议项下的所有费用，并有权按照本协议的规定回收上述费用，但XXXX不承担本协议终止后产生的任何费用，责任和其它义务。 （c）XXXX将综合运用其附属公司在北美的成功经验，通过联合工作小组按照工作计划和预算开展工作； （d）有权利和义务向联合工作小组派遣额外的必要而且能满足本协议目的的技术专家（除去根据第6.2.1条和第6.2.2条规定派遣的XXXX代表），以实施联合评估。以上额外人员产生的费用将按照第10条的规定按照开采费用在产品分成合同中回收。 （e）有权利和义务与XXXX一起按照指导委员会批准的工作计划和预算进行资料分析和处理。任何采集的样本都将在XXXX和XXXX同意的具备资质的实验室中测试。如果在中国找不到适合的实验室，XXXX将协助将样本出口到美国或者XXXX指定的其他国家的适合实验室中进行测试。
