19.1 Neither Party shall be considered in default of the performance of any of its obligations hereunder, if any failure to perform or any delay in performing its obligations is the result of the following causes:

 

(i) The performance is prevented, hindered or delayed because of any event or combination of events which could not be foreseen and/or which is beyond the control of such Party;

 

(ii) Any such event or combination of events is the direct cause of preventing, hindering or delaying of such Party's performance its obligations hereunder; and

 

(iii) When any such event or combination of events has occurred, such Party has taken all reasonable actions to overcome any cause that prevents, hinders or delays performance of its obligations and insofar as is practicable continued to perform its obligations hereunder.

 

19.2 Notice of any event of Force Majeure and the conclusion thereof shall forthwith be given to the other Party by the Party claiming Force Majeure.

19.3 In the event of Force Majeure, the Parties shall immediately consult in order to find an equitable solution thereto and shall use all reasonable endeavors to minimize the consequences of such force majeure.

 

19.4 If the Joint Assessment is partially or entirely suspended for at least fifteen (15) days as a result of the Force Majeure referred to herein, the period of the Joint Assessment shall be automatically extended by a period equivalent to but not exceeding the relevant period of such suspension. 

 

However, if a Force Majeure event lasts for twelve (12) continuous months, then XXXX is entitled to terminate this Contract without any further liability.

 

20 .1   Each Party shall conduct all of its activities pursuant to this Agreement in compliance with all laws, rules and regulations applicable to such Party. Each of the Parties represents and warrants that it has not made and will not make, with respect to the matters provided for hereunder, any payments, loans, gifts, or promises of payments, loans or gifts, directly or indirectly to or for the use or benefit of any official or employee of the Government or to or for the use of any political party, official, or candidate or to any other person if such payment, loan, or gift or promise or offer, would violate the laws or regulations of China and/or of the USA, including but not limited to the Foreign Corrupt Practices Act.  Each Party shall respond promptly, and in full detail, to any notice from the other Party or its auditors pertaining to the above stated warranty and representation and shall furnish full documentary support for such response upon request from the other Party.

 

20 .2  Any change or amendment to this Agreement shall not be effective unless made in writing and signed by representatives authorized by both Parties. 

 

20 .3  This Agreement represents the complete agreement between both Parties and replaces all prior understandings, negotiations or documentation.

 

20 .4  This Agreement is written in both Chinese and English, and both versions will have equal force and effect.

 

20 .5  The Chinese and English version of the Agreement will be prepared in six (6) sets. Each Party will hold three (3) identical sets.

 

In witness whereof, the Parties have caused this Agreement to be executed by their duly authorized representatives on the date first above written.

 

19.1     如果因为下列原因导致任一方不能履行或者迟延履行其义务，不得视为违约情形：

（1）履行行为因为不可预见并且一方不能控制的事件而无法实施，受到阻碍或被迟延；

（2）上述事件是导致一方无法实施，阻碍实施或迟延履行行为的直接原因；

（3）上述事件发生时，不能或迟延履行的一方已为继续履行本协议下义务而采取所有合理可行行为来克服上述导致无法实施，阻碍实施或迟延履行行为的原因。

19.2     主张不可抗力的一方应立即将不可抗力事件及其结果通知另一方。

19.3     在不可抗力发生时，双方都应立即商讨应对解决办法，并且尽到所有合理努力将不可抗力的后果降到最低。

19.4     如果联合评估全部或部分因为上述不可抗力中止超过十五（15）天，联合评估期限应当自动延长，但延长时间不得超过上述相关中止时间。

但是，如果某不可抗力事件连续持续十二（12）个月，XXXX有权终止本合同，而不承担任何后续责任。

20.1     双方均应按照适用的所有法律、法规、条例、规则和条令，根据本协议开展所有的行动。双方陈述并保证，其过去从未并在将来也不会就本协议下的事项，做出支付费用、借款、赠予或者许诺支付、借款或赠予的行为，直接或间接用以供任何政府官员或政府工作人员使用或获利，或供任何政党，官员，候选人或其他人员使用或获利，如果上述支付、借款、赠予或者许诺支付、借款或赠予的行为违反了中国和/或美国的法律，包括但不限于反海外腐败法案。

在任一方或其审计机构或人员就上述陈述和保证事项发出通知后，另一方必须及时、全面地给出回应，并应对方要求就给出的回应提供全面的文件支持。

20.2     对本协议所作任何变更修改，除非采取书面形式并经双方授权代表签署，不应生效。

20.3     本协议是双方之间的完整协议，它取代了双方以前所有谅解和洽谈或文件记录。

20.4     本协议采用中文和英文书写，两种文字具同等效力。

20.5    本协议中英文各一式六（6）份，具有同等效力，每方各执中英文三（3）份。

双方授权各自代表于上述第一次所提日期签署本协议，以兹为证。
