Confidentiality Agreement
1. All the materials, reports, records and other confidential information provided by XXXX to XXXX in respect of the Project Area and/or the Joint Assessment (“XXXX Confidential Information”) shall be kept confidential and protected accordingly by XXXX. Without written authorization from XXXX, such information shall not be transferred, licensed, offered as a gift, sold, published or released to the public, except as otherwise provided in Articles 4, 5 and 6 hereto.
2 All the materials, reports, records and other confidential information provided by XXXX to XXXX in respect of the Project Area and/or the Joint Assessment (“XXXX Confidential Information”) shall be kept confidential and protected accordingly by XXXX. Without written authorization from XXXX, such information shall not be transferred, licensed, offered as gift, sold, published or released to the public, except as otherwise provided in Articles 4, 5 and 6 hereof.
3 Information acquired or created during the Joint Assessment including data, records, samples, certificates, other original materials, interpretation of results, reports, patents, know-how, exclusive technologies and/or trade secrets (Joint Assessment Confidential Information”) shall be kept confidential by both XXXX and XXXX and protected accordingly, except as otherwise provided in Articles 4, 5, and 6 hereof.
4 Notwithstanding Articles 1, 2, and 3 hereof, XXXX Confidential Information, XXXX Confidential Information and Joint Assessment Confidential Information (collectively “Confidential Information”) may be disclosed to:
(a) Employees, senior staff, and directors of Affiliates of both or either Party provided that the disclosing Party shall be responsible for the adherence of the employees, senior staff and directors of its Affiliate to the terms of this Agreement.
(b) Any advisors or consultants hired by both or either Party to evaluate the Confidential Information for the purpose of advancing the Joint Assessment for the benefit of the Parties provided that the disclosing Party shall be responsible for the adherence of the advisors or consultants to the terms of this Agreement as if they were a Party to this Agreement.
Prior to disclosing any information according to Article 11.4 (b), the disclosing Party shall obtain the other Party’s prior consent, and shall obtain written confidentiality undertakings on behalf of both Parties from each recipient. The provisions of Articles 11.4 (a) and (b) shall not apply to the disclosure of XXXX Confidential Information by XXXX or to the disclosure of XXXX Confidential Information by XXXX.
5 The obligations contained in Articles 11.1, 11.2 and 11.3 shall not apply to any Confidential Information which:
(a) is or becomes part of the public domain other than through breach of confidentiality obligations by the Party receiving the Confidential Information (“Receiving Party”) or any recipients;
(b) can be shown by the Receiving Party to the reasonable satisfaction of the other Party to have been known by the Receiving Party before disclosure to the Receiving Party and the Receiving Party is not liable for breach of any confidentiality obligation in obtaining such information.
(c) can be proved by the Receiving Party to have come subsequently and lawfully into the possession of the Receiving Party from a third party, and that the third party has legal authority to disclose such information, and that the source of such information is not the disclosing Party or its officers.
6 Without prejudice to Articles 11.1, 11.2, and 11.3, Confidential Information can be disclosed if required by applicable law, order, decree or regulation, or by any stock exchange on which the disclosing Party or its Affiliate is listed. In such circumstances, the Party required to disclose the information shall notify the other Party in a timely fashion
7 The existence and the terms of this Agreement shall be regarded as Joint Assessment Confidential Information.
8Except when the Agreement is replaced by a binding PSC or other similar agreement entered into by both Parties, the Confidentiality provisions in this Article 11 shall remain in force for five (5) years after the Effective Date of this Agreement.

1. 所有由XXXX提供给XXXX的有关项目区域和/或联合评估工作相关的资料、报告、记录和其他信息在内的保密信息（以下简称“XXXX保密信息”）均应保密并得到XXXX的保护。未经XXXX书面同意，不得转让、许可、作为礼物提交、出售、出版或公开该资料，但第4，5款和第6款另行规定的情形除外。
2. 所有XXXX提供给XXXX的项目区域和/或联合评估工作相关的资料、报告、记录和其他信息在内的保密信息（以下简称“XXXX保密信息”）均应保密并得到XXXX相应的保护。未经XXXX书面同意，不得转让、许可、作为礼物提交、出售、出版或公开该资料，但本协议第4，5款和第6款另行规定的情形除外。
3. 因联合评估获得或产生的包括数据、记录、样品、凭证、其他原始资料、解释成果、报告、专利（未公开部分）、诀窍、专有技术和/或商业秘密等知识产权在内的保密信息（以下简称“联合评估保密信息”），均应由XXXX和XXXX双方保密，并给予相应的保护，但本协议第4，5款和第6款另行规定的情形除外。
4. 尽管有第1款、第2款和第3款的规定，XXXX保密信息，XXXX保密信息和联合评估保密信息（以下简称“联合评估保密信息”）可以披露给：
（a）双方以及双方各自的附属公司为履行与联合评估有关的义务而有必要知晓这些保密资料和信息的雇员、高级职员和董事，但披露方应确保披露方的或者披露方的附属公司的雇员、高级职员和董事遵守本协议规定且对此负责；
（b）双方为了双方的利益和联合评估工作的进行聘用的评估保密信息的顾问或咨询师，但披露方应确保这些顾问或咨询师知晓披露方在本协议项下的保密义务，并应保证该顾问或咨询师负有同样的保密义务。
在按照第11.4（b）款规定披露信息给个人前，披露信息的一方应事先获得协议另一方的同意，并自从代表双方的接收者处获得书面保密承诺。以上第11.4（a）和（b）款的规定不适用于XXXX披露XXXX保密信息和XXXX披露XXXX保密信息的情况。
5. 第11.1款、第11.2款和第11.3款规定的保密义务并不适用于以下保密信息和资料：
（a）在向接收方披露之时或之后非因信息接收方（“接收方”）或任何接收者违反本保密义务而为公众知晓的信息；
（b）信息接收方能够证明，信息在披露之时已为其占有且获取这些信息并不需要承担保密义务；
（c）信息接收方能够证明，信息在披露之后从第三方处接收所得，该第三方有合法权利进行该披露且该信息并非源自披露方或者披露方的代表处提供的信息。
6. 在不损害本附件四的第1款、第2款和第3款规定的情况下，可以按照适用的法律，法规，条例，法令或者披露方及其附属公司上市的证券交易所的要求披露保密信息，但在上述情况发生时，则该被要求方应在披露信息之前及时通知另一方。
7. 本协议的存在及其条款均应视为联合评估保密信息。
8. 除非本协议被生效的产品分成合同或双方签订生效的其它类似协议代替，本附件四中的保密条款应在本协议生效之日后五年内保持有效。
