Chapter 1 Contract Agreement
This Construction Contract (the “Contract”) is entered into on this April 20th of 2010 in the People’s Republic of China (“PRC”) by and between (the “Buyer”) and XXXX (the “Seller”) according to the following terms and conditions.
Whereas the Buyer invited for bids ,in order to obtain the following goods and incidental service, i.e, the purchase of power equipment, ancillary equipment, backup parts, special tools and the installation, test, acceptance and all equipments , training, technical service and other services, and accepted the seller’s bidding for the aforesaid goods and services at the price of XXXX (�:XXXX) for the import equipment and XXXX (￥: XXXX)(herein after referred to as “Contract Price”) for the domestic equipments.
This Contract represents as follows:
1. Words and technical terms used herein have the same meaning as the provisions of this Contract define.
2. The following documents are parts of the Contract, and should be read and interpreted together with the Contract:
1) The general terms of the Contract
2) The special terms of the Contract
3) The exhibits of the Contract

Exhibit 2- Technical Specifications
Exhibit 3- Batches and Time of Delivery
Exhibit 4- Performance Bond Guarantee (format see III-2)
Exhibit 5- Paying Bank Guarantee (format see III-3)
Exhibit 6- Letter of Credit (format see this chapter III-4)
4) Notice of Winning the Bidding
3. Considering the Buyer will pay to the Seller in accordance with the Contract, the Seller hereby warrants to provide the Buyer with goods and services and to repair the defects herein all as the Contract stipulates.
4. Considering the Seller will provide goods and services and repair the defects herein, the Buyer hereby warrants paying the Contract Price and other prices as required by the Contract in the time and way herein as the Contract stipulates.
Both parties sign this Contract on the said date.

第一部分 合同协议书
本合同于 2010 年 4 月 20 日由中华人民共和国的 (以下简称“买方”)为一方和中华人民共和国的东莞市XXXX有限公司(以下简称“卖方”)为另一方按下述条款和条件签署。
鉴于买方为获得以下货物和伴随服务，即山西XXXX集团有限责任公司XXXX项目发电设备、辅助设备、备品备件、专用工具采购及所有采购设备的安装、调试、检验验收，培训，技术服务及其他服务等全部内容而邀请投标，并接受了卖方以进口设备总金额XXXX欧元（�：XXXX）和国产设备总金额XXXX人民币（￥：XXXX） (以下简称“合同价”)提供上述货物和服务的投标。
本合同在此声明如下：
1．本合同中的词语和术语的含义与合同条款中定义的相同。
2．下述文件是本合同的一部分，并与本合同一起阅读和解释：

3．考虑到买方将按照本合同向卖方支付，卖方在此保证全部按照合同的规定向买方提供货物和服务，并修补缺陷。
4．考虑到卖方提供的货物和服务并修补缺陷，买方在此保证按照合同规定的时间和方式向卖方支付合同价或其他按合同规定应支付的金额。
双方在上述日期签署本协议。
