Chapter 2 General Terms

1.1 The following terms in this Contract shall be interpreted as below:

1) “Contract” means the agreement indentified as contract, entered into and signed by both parties, including all the exhibits, annexes, and all the documents which are integral parts of the contract as mentioned in the same documents.

2) “Contract Price” means the value of payment the buyer shall deliver to the Seller after the Seller performed all the obligations according to this Contract.

3) “Goods” means all the equipment, machines and/or other materials the seller delivers to the Buyer according to this Contract.

4) “Incidental Service” means the supporting services the Seller provide to the Buyer in accordance with this Contract, such as transportation, insurance and other incidental service like installing and adjusting the machine, providing technical support or training and performing other obligations stipulated in this Contract.

5) “General Terms of this Contract” means the terms stipulated in this Chapter.

6）“Special Terms of this Contract” means the terms stipulated in Chapter7 of this Contract.

7) “Buyer” means the entity which purchases goods and services identified in the Special Terms of this Contract.

8) “Seller” means the company or other entities which provide the goods and services under the Contract as stipulated in the Special Terms of this Contract.

9) “Project Site” means the site the goods are installed and operated, the names of which are specified in the Special Terms of the Contract.

10) “Day” means the calendar day.

2.1 The terms of this Chapter apply where there are no such terms in the other parts of this Contract.

3.1 The Goods and Services provided according to this Contract shall all come from the People’s Republic of China or the countries and regions which has normal trade relationship with the People’s Republic of China (herein after referred to as “Qualified Country/Region of Origin”).

3.2 The “Origin” in this article means the place where the goods are developed or grown and the services are provided.  And the “goods” in this article shall mean the goods that is manufactured, refined or assembled by essential parts, and the basic characteristics, function or utility of which is commonly regarded in commercial activities as materially different from its parts.

3.3 The place of origin of the goods and service is different from the nationality of the Seller.

4.1  The goods delivered under this Contract shall comply with its technical criteria.   If there is no applicable criterion in this Contract, then the official criteria in the origin of goods shall be applied.  The relevant criteria shall be the latest version in effect published by relevant authorities.

4.2 Unless otherwise stipulated in the technical specifications, the measurement unit shall be the legal unit used in the People’s Republic of China.

5.1 Without prior written consent of the other party, the Seller shall not disclose the Contract or any term of the Contract, specification, plan, drawing, model, sample or other document to any third party who is not relevant to the performance of this Contract. The disclosure by the company shall subject to confidentiality obligations and only to the extent of performing this Contract.

5.2 Without prior written consent, unless for the purpose of performing this Contract, the Seller shall not make use of any of the file or documents stipulated in Article 5.1.

5.3 Except for the Contract itself, any document stipulated in Article 5.1 shall be the property of the Buyer.   Upon its request, the Seller shall return all the documents and copies after completing the Contract to the Buyer.

6.1 The seller undertakes that the Buyer, when using the good in part or in whole, refrains from any third party’s lawsuit or claims arising from patent, trademark, copyright or other intellectual property infringement.

7.2 The Performance Margins shall be used to indemnify the Buyer’s loss due to the inability of the Seller to perform its obligation under this Contract.

7.3 The performance margin shall be paid by the currency of this Contract or other currency the Buyer accepts and shall be paid in any of the following manners:

1) By Bank Guarantee or irrevocable letter of credit

It shall be issued by the acceptable bank registered and operated in People’s Republic of China, or by reputable foreign banks through the other bank registered and operated in People’s Republic of China.  The format shall be the one provided in the tendering document or other format accepted by the Buyer.

2) By Cashier’s check, confirmed check or cash.

第二部分  通用条款

1.1本合同下列术语应解释为：

1)“合同”系指买卖双方签署的、合同格式中载明的买卖双方所达成的协议，包括所有的附件、附录和上述文件所提到的构成合同的所有文件。

2)“合同价”系指根据本合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价款。

3)“货物”系指卖方根据本合同规定须向买方提供的一切设备、机械和／或其它材料。

4)“伴随服务”系指根据本合同规定卖方承担与供货有关的辅助服务，如运输、保险以及其它的伴随服务，例如安装、调试、提供技术援助、培训和合同中规定卖方应承担的其它义务。

5)“合同通用条款”系指本合同条款。

6）“合同专用条款”系指第七章合同专用条款。

7)“买方”系指在合同专用条款中指明的购买货物和服务的单位。

8)“卖方”系指在合同专用条款中指明的提供本合同项下货物和服务的公司或其它实体。

9)“项目现场”系指本合同项下货物安装、运行的现场，其名称在合同专用条款中指明。

10)“日”指日历日。

2.1本合同条款适用于没有被本合同其他部分的条款所取代的范围。

3.1 本合同项下所提供的货物及服务均应来自于中华人民共和国或是与中华人民共和国有正常贸易往来的国家和地区(以下简称“合格来源国/地区”)。

3.2 本款所述的“原产地”是指货物开采、生长或生产或提供有关服务的来源地。所述的“货物”是指通过制造、加工或用重要的和主要元部件装配而成的，其基本特性、功能或效用应是商业上公认的与元部件有着实质性区别的产品。

3.3 货物和服务的原产地有别于卖方的国籍。

4.1  本合同下交付的货物应符合技术规格所述的标准。如果没有提及适用标准，则应符合货物来源国适用的官方标准。这些标准必须是有关机构发布的最新有效版本的标准。

4.2 除非技术规格中另有规定，计量单位均采用中华人民共和国法定计量单位。

5.1 没有对方事先书面同意，卖方不得将由对方或对方代表提供的有关合同或任何合同条文、规格、计划、图纸、模型、样品或资料提供给与履行本合同无关的任何其他人。公司?提供，也应注意保密并限于履行合同必须的范围。

5.2 没有对方事先书面同意，除了履行本合同之外，卖方不应使用合同通用条款第5.1条所列举的任何文件和资料。

5.3 除了合同本身以外，合同通用条款第5.1条所列举的任何文件是买方的财产。如果对方有要求，卖方在完成合同后应将这些文件及全部复制件还给买方。

6.1 卖方应保证，买方在中华人民共和国使用该货物或货物的任何一部分时，免受第三方提出的侵犯其专利权、商标权、著作权或其它知识产权的起诉。

并签订合同7.2 履约保证金用于补偿买方因卖方不能完成其合同义务而蒙受的损失。

7.3 履约保证金应采用本合同货币或买方可以接受的其它货币，并采用下述方式之一提交：

1)银行保函或不可撤销的信用证

由买方可接受的在中华人民共和国注册和营业的银行出具，或信誉良好的外国银行通过在中华人民共和国注册和营业的银行出具。其格式采用招标文件提供的格式或其他买方可接受的格式。

2)银行本票、保兑支票或现金。
