The seller shall deliver the goods in accordance with the “Goods Demand List”.  The details of shipment and/or other receipts shall be in compliance with the Article9,10,11,12.

13.2 EXW, FOB, FCA, CIF, CIP and other trade terminology allocating responsibilities of parties shall be interpreted according to latest in effect “INCOTERMS” issued by Paris International Chamber of Commerce.

13.3 The Seller shall fax all the shipment details to the Buyer and the Insurance Company after the goods are shipped and ready for departure, including contract number, goods instruction, quantity, name of transportation vehicle, number and date of bill of lading, shipping port, date of departure, the predicted date of arriving at destination port.  For the purpose of payment, the Seller shall deliver relevant “payment documents” to the Buyer directly or through the Seller’s Bank according to Article 20.

14.1 The loss or damage of goods under this Contract during manufacturing, purchasing, transporting, storing and delivering shall be fully covered by insurance in accordance with article in exchangeable currency.

14.2 If the Buyer requires applying CIF or CIP, the Seller shall be responsible for the arrangement and payment of the insurance. The seller shall maintain and All risks and war risk insurance in the amount of 110% of the invoice value.   The beneficiary shall be the Buyer.  In the event FOB/FCA applies,

14.3 If it is EXW contract，the Buyer shall be responsible for the insurance after the shipment of the goods.

15.1 If the Contract provides that FOB applies, the Seller shall be responsible to arrange and pay for all transpotation matters until the goods are shipped to the designated ship, and relevant fees are covered in the contract price.  If the Contract provides that FCA applies, the Seller shall be responsible to arrange and pay for all transpotation matters until the goods are shipped to the designated place or other places for the storage of carrier as the Buyer agrees, and relevant fees are covered in the contract price.

15.2 If the Contract provides that CIF/CIP applies, the Seller shall be responsible to arrange and pay for all transpotation matters until the goods are shipped to the destination port or other destinations as provided in the Contract, and relevant fees are covered in the contract price.

15.3 If the Contract provides that CIF/CIP applies, the appointment of carries shall obtain the consent of the Buyer first.  If the Contract provides that FOB/FCA applies, the Seller shall work with the carries apponted by the Buyer or the ship with the flag of Peopl’s Republic of China (if provided by the Contract), acting on the behalf of the buyer. The Buyer shall bear the cost of arranging for international transportation. If the carries apponted by the Buyer or the ship with the flag of Peopl’s Republic of China can not be used for shipping goods within the time required in the Contract, then the Seller shall arrange other carrier or ship for the transportation.

16.1 The Seller may be asked to provide the following services in whole or in part, including additional services stipulated in the Special Terms of the Contract(if there is any):

1) Implement or supervise the installment and/or trial operation of the goods;

2) Provide the tools for the assembly and/or repair of the goods;

3) Provide operation and maintenance brochures for each appropriate equipment;

4) Operate, supervise, maintain or repair the goods during the agreed period of time, on the condition that the service shall not exempt seller’s obligations within the warranty period.

5) Assemble, operate on trial, operate, maintain and or repair the goods one the factory of the Seller or project site and provide training to the Buyer’s staff.

16.2 If the cost of incidental service is not contained in the contract price, both parties shall reach an agreement in advance, but the unit price shall not be more than the current price the Seller provide the similar service to other parties.

16.3 All the services the Seller shall provide according to the Special Terms of this Contract/Technical Specification.   The price of performing incidental service or the cost agreed by the parties shall be contained in the contract price.

13.交货和单据

13.1卖方应按照“货物需求一览表”规定的条件交货。卖方应提供的装运细节和／或其他单据见合同条款第9、10、11、12条规定。

14.1应对本合同下提供的货物，按本条款规定的方式，用一种可以自由兑换的货币对其在制造、购置、运输、存放及交货过程中的丢失或损坏进行全面保险。

14.2如果买方要求按CIF或CIP价格条件交货，其货物保险将由卖方办理、支付，卖方应用一种可以自由兑换的货币办理以发票金额110％投保的一切险和战争险。并以买方为受益人。如果按FOB／FCA价格条件交货，则保险由买方负责。

14.3如果是EXW合同，装货后的保险应由买方办理。

15.1如果合同要求卖方以FOB价格条件交货，卖方应负责办理、支付直至包括将货物在指定的装船港装上船的一切运输事项，相关费用包括在合同价中。如果合同要求卖方以FCA价格条件交货，卖方应负责办理、支付将货物在买方指定地点或其他同意的地点交由承运方保管的一切运输事项，相关费用应包括在合同价中。

15.2如果合同要求卖方以CIF／CIP价格条件交货，卖方应负责办理、支付将货物运至目的港或合同中指定的其他目的地的一切运输事项，相关费用应包括在合同价中。

15.3如果合同要求卖方以CIF／CIP价格条件交货，所选择承运人事先应获买方同意。如果合同要求以FOB／FCA价格条件交货，卖方应使用买方指定的承运人或挂中国国旗的船只(如果合同要求的话)，代表买方并由买方负担费用来安排国际运输，如果买方指定的承运人或挂中国国旗的船只不能在合同规定的时间内用于运输货物，卖方应安排别的承运人或船只运输货物。

16.1卖方可能被要求提供下列服务中的任一或所有服务，包括合同专用条款与技术规格中规定的附加服务(如果有的话)：

1)实施或监督所供货物的现场组装和／或试运行；

2)提供货物组装和／或维修所需的工具；

3)为所供货物的每一适当的单台设备提供详细的操作和维护手册；

4)在双方商定的一定期限内对所供货物实施运行或监督或维护或修理，但前提条件是该服务并不能免除卖方在合同保证期内所承担的义务；

5)在卖方厂家和／或在项目现场就所供货物的组装、试运行、运行、维护和／或修理对买方人员进行培训。

16.2如果卖方提供的伴随服务的费用未含在货物的合同价中，双方应事先就其达成协议，但其费用单价不应超过卖方向其他人提供类似服务所收取的现行单价。

16.3卖方应提供合同专用条款／技术规格中规定的所有服务。为履行要求的伴随服务的报价或双方商定的费用应包括在合同价中。
