37.2 Where the export of the goods under this Contract requires Export License, the Seller shall be responsible for processing the said license and the fees hereunder.

37.3 The following exhibits, as an indivisible part of the Contract, shall have the same binding effect as the Contract:

The seller shall provide the entire incidental services specified in the Contract, and all the cost included in the Contract Price.

17.2 The seller shall provide necessary backup products and parts as agreed hereunder.

18.2 This Guarantee shall stay valid with a certain period after the final check and acceptance of the goods herein, or after the last batch of goods herein arrive at the port of destination, whichever occurs first.  The valid period see Exhibit 2- Technical Specifications.

18.4 The Seller shall arrive at the Project Site and provide free services of repairing or changing the defected goods or parts within 24 hours after receiving the notice.

20.1 Way and conditions of payment hereunder the Contract:

For the products provided within the territory of PRC : after the goods passing the test by the Seller and the Monitoring authority at the project site, 80% of the Contract Price shall be paid. After the goods is installed and adjusted, and the incidental services are completed, 95% of the Contract Price shall be paid. The rest 5% shall be the quality guarantee for the goods. When the warranty of the goods expires, the seller shall pay the quality guarantee if there is no quality problem after secondary test.

For the products out of the territory of PRC: within 30 days after the effective date of the Contract, 10% of the Contract Price shall be paid as pre-payment and L/C for the rest 90% shall be issued. After the goods passing the test by the Seller and the Monitoring authority at the project site, 75% of the Contract Price shall be paid (in cash). The rest shall be paid after the installation, adjustment and acceptance of the goods.

21.1 Contract Price includes:  price of host and standard accessories, price of backup and spare parts, price of special tools, technical materials, installation, commissioning, inspection and acceptance, training, technical services fee and other (package, insurance, transportation) prices of FOB port of shipment.

32.2 Dispute shall be resolved in Beijing in accordance with the Rules and Procedures of Arbitration of the China International Economic and Trade Arbitration Commission (CIETAC) by CIETAC.  The arbitration shall be conducted in English language.

33.1 The language of this Contract shall be Chinese Language.

34.1 The interpretation of this Contract shall be governed by PRC Law.

20.1本合同项下的付款方法和条件：

中华人民共和国境内提供的货物：货物到项目现场经买方及监理单位共同验收合格后，付至货物合同价款的80%，货物安装调试合格并完成其它伴随服务后付至境内货物合同价款的95%，留5%作为货物质量保证金。货物保修期满，经买方二次验收无质量问题后付清质量保证金。

中华人民共和国境外提供的货物：合同签订生效后30日内支付货物合同价款的10%作为预付款，并开据90% L/C货物到项目现场经买方验收合格后支付合同价款的75%（现金支付），货物安装、调试并验收合格后支付剩余货款。

 

21.1合同价包括：主机和标准附件价格，备品备件价格，专用工具价格，技术资料，安装、调试、检验验收，培训，技术服务费用及其他（包装、保险、运输）FOB装运港价格。

32.2仲裁由中国国际经济贸易仲裁委员会(CIETAC)按其仲裁规则和程序在北京进行。仲裁的官方语言为中文。

33.1本合同语言为中文。

34.1本合同按照中华人民共和国的法律进行解释。
